Description
As a Commercial Counsel for Verily, you will work directly with a team of experts from the fields of biology, engineering, computer science, health economics and more on commercial transactions that support groundbreaking projects.
Responsibilities
- Integrate with the Verily team and work closely with product counsel and patent counsel to support company initiatives.
- Advise clients on complex deal structures, contractual legal issues and risks, company approval processes, company policies and procedures and negotiation strategy.
- Review, draft and negotiate a broad range of agreements to meet the diverse needs of the team. This includes licensing, collaboration, clinical study, data use, co-development, strategic partnership, joint venture, supply/manufacturing, inbound services agreements, confidentiality agreements and more. Negotiate agreements that comply with Verily's policies and risk tolerance.
- Respond promptly to legal requests from science, engineering and business clients, summarizing and communicating legal concepts that clients can understand and use.
- Support the continuous improvement of standard form agreements and legal processes for Verily.
Qualifications
Minimum Qualifications:
- JD degree or equivalent education.
- Licensed to practice law in a US jurisdiction.
- 10 years of experience in tech transactions.
Preferred Qualifications:
- Demonstrated experience in a law firm or in-house legal department, providing legal support for life sciences transactions and advising science and engineering teams on structuring IP and commercial deal terms.
- Experience with joint venture deal structures and issues in the life sciences industry.
- Strong communication skills and experience collaborating with cross-functional teams.
- Strong organizational skills and the ability to manage high volume of requests.
- Ability to be flexible and self-directed in a fast paced environment with limited direction.
- Ability to balance competing priorities and manage several time-sensitive projects at once.
