The Vice President, Legal will serve as a critical member of the legal team and be responsible for preparation, for a broad array of legal matters, including management and oversight of the Company’s SEC filings, including periodic reports, proxy statements, Section 16 filings and securities offerings and other related filing. The VP is expected to work with both internal and external stakeholders to drive the evolution and development of Viridian’s legal needs.
Responsibilities
• Provides expert advice on securities laws, corporate governance, corporate secretarial and general corporate matters.
• Prepares, manages and oversees the Company’s SEC filings, including periodic reports, current reports, proxy statements, Section 16 filings securities offerings and other related filings.
• Provides legal support and guidance with respect to executive compensation, as well as equity plan administration and trading windows.
• Assists the General Counsel in staying current on and advising the Board regarding governance related matters.
• Collaborates and provides legal guidance on external communications, such as earnings releases, press releases and investor presentations.
• Collaborates on business development and financing transactions; lead legal due diligence activities; and draft, review and negotiate deal-related documents.
• Provides on-boarding training and other training on Company related legal topics.
• Provides support for litigation, contracts review and other legal projects, as needed.
• Interacts with internal business clients at various levels of management and across the Company.
• Effectively and efficiently manages outside counsel on a variety of matters.
Requirements
• Juris Doctor from a national law school and strong academic credentials
• Admission to and in good standing with the bar of at least one state or the District of Columbia required.
• A minimum of 12 years of progressive legal experience required, including at least 5 years of meaningful experience in a law firm managing US securities transactional and regulatory matters.
• Strong knowledge of US securities laws
• Experience in corporate governance matters
• General business and commercial law experience is required, including drafting and negotiating a wide variety of contracts.
• Broad understanding of the pharmaceutical and/or life sciences industry is preferred.
• Excellent analytical, detail-oriented, organization and information-seeking skills
• Strong analytical and problem-resolution skills
• Exceptional business judgment, with the ability to think strategically and give practical advice while balancing business needs with legal risks
• Strong negotiating skills with both legal and financial/commercial issues and functions of the Company
• Developed organizational capabilities and the ability to manage several simultaneous projects under tight timelines
• Computer Skills: Must be proficient in MS Office Suite
This role will report to the General Counsel. We are flexible with work from home/flexible schedule however the candidate needs to reside in the Greater Boston area and comfortable coming into the office when needed.
