Mack Trucks & Volvo Trucks North America are looking for a Senior Legal Counsel to join the commercial team. The Senior Legal Counsel will support many aspects of our commercial operations and will be responsible for ensuring effective, efficient and proactive legal support of Mack/VTNA’s business objectives, while minimizing reputational risk and exposure related to legal matters. In this role, you will report to the SVP, General Counsel, and Secretary.
This Is How You Could Make an Impact
Assume functional legal leadership for Mack/VTNA in the areas of:
Sales (new truck, parts, leasing, and service contracts), including:
• Drafting and revising NDAs, sales agreements, terms and conditions of sale, demonstration agreements, leases, service contracts, and SaaS agreements
• Advising on pricing law, vehicle allocation, sales programs, & incentive plans
Dealer relations, including:
• Providing advice regarding dealer statutes
• Drafting dealer sales and service agreements, policies, and bulletins
• Managing litigation relating to dealers
Electromobility, including:
• Negotiating strategic business alliances and collaboration agreements
• Contracting with NGO’s and public agencies regarding grants
• Incorporating grant provisions in sales, lease and other agreements
Compliance, including:
• Providing advice relating to the code of conduct, competition law, anti-corruption laws, export control, data privacy, whistleblowing and investigations, and document retention policies
• Administering compliance training programs
Warranty administration, including:
• Drafting warranty policies
• Providing advice relating to warranty administration and warranty audits
Connected solutions, digital, and IT, including:
• Drafting and revising telematic service agreements
• Providing advice regarding data privacy, terms and conditions and relevant new and proposed legislation
Communications, marketing and advertising, including:
• Reviewing and revising press releases and advertisements
• Providing advice regarding advertising and marketing laws
• Drafting and revising sponsorship agreements
International trade, including:
• Drafting and revising importer and agent agreements
• Drafting international contracts of sale
Public affairs, including:
• Determining and advising on the impact of legislation
• Drafting revisions to proposed legislation to mitigate risks
• Provide timely advice to enable Mack/VTNA to protect its rights and assets, minimize exposure to legal risks, and comply with applicable laws.
• Immerse yourself in the business to become a partner that provides effective proactive legal advice to executive management teams in support of business goals and strategies.
• Manage, defend, and assert litigation in support of Mack/VTNA’s legal positions.
• Ensure Mack/VTNA achieves an effective balance of cost, end result and precedent
• Manage special projects and perform other related duties as assigned.

WHO ARE YOU?
You will hold a Juris Doctorate Degree from an accredited law school is required. You must be a state licensed attorney in the United States and in good standing.
Additionally, you will have at least 7-10 years relevant experience from working in a senior legal role at a law firm and/or in-house with a broad array of responsibilities, ideally with experiences in the transportation industry.
Other Requirements
• Be based in or near Greensboro, High Point, or Winston-Salem North Carolina, USA,
• Be willing and able to travel domestically, with some international travel.
