The Role
We are seeking a commercial attorney with significant experience drafting and reviewing a wide variety of contracts, including complex commercial agreements in the company’s North American Legal Business team reporting to the North America Deputy General Counsel for Health Wealth and Career. The candidate will provide general legal support to several business units across North America in the Health Wealth Career segment of the Company, primarily reviewing, drafting and negotiating commercial contracts and joint marketing agreements and similar documents and become a trusted business advisor handling variety of other corporate and commercial matters and providing timely advice. Contracts may include a variety of complex client and vendor agreements for consulting and software contracts. The candidate must be effective in providing necessary advice and counseling internal clients in a solutions-oriented, commercial-friendly and pragmatic way.
The successful candidate should be comfortable working with cross-functional internal business teams and external parties to handle a wide variety of corporate and commercial matters and provide ad hoc advice and counsel.
The Requirements
- JD from a nationally recognized law school and admission to the relevant Bar or eligibility for admission on motion
- Minimum of 8 years relevant experience in a fast-paced dynamic culture; prior in-house experience a plus
- Timely and effectively provide practical general corporate and commercial legal advice and services throughout the organization
- Efficiently manage a large volume and variety of transactions, negotiate numerous standard and complex corporate and commercial agreements while balancing appropriate legal and business risks
- Ability to spot issues in and negotiate improvements to transaction documents
- Work with cross functional teams (client development, sales, strategy, marketing, IT, HR, finance, etc.) to achieve business objectives
- Client service focus and the ability to work efficiently, prioritize workflow, meet demanding deadlines and manage many projects in a fast-paced environment
- Ability to work independently and interact with all levels of management in a professional and positive manner
- Strong interpersonal, communication and presentation skills
- Strong analytical, project management and process management skills
- Initiative to work proactively
- Excellent analytic, legal drafting and oral and written communication skills.
- Experience with any of the following is a plus: investment advisory client agreements, software licenses, SAAS agreements, agreements used in insurance and/or consulting businesses, benefit outsourcing agreements.

Salary : $134,000 - $170,000
