General Counsel

  • This is a department director classification that provides professional counsel to the Board of Directors and District staff on all legal matters impacting the District. This class provides assistance to the Executive Director and Board in a variety of administrative, coordinative, analytical, and liaison capacities. Successful performance of the work requires knowledge of public policy, District functions and activities, including the role of the Board of Directors, and the ability to develop, oversee, and implement projects and programs in a variety of areas. Responsibilities include coordinating activities with other departments and outside agencies. The incumbent is accountable for accomplishing departmental goals and objectives, and for furthering District goals and objectives within general policy guidelines.
    • Provides professional counsel to the Board of Directors and District staff on all legal matters impacting the District.
    • Develops, directs, and coordinates the implementation of goals, objectives, and policies for the District; establishes, within District policy, appropriate budget, service, and staffing levels.  
    • Manages and participates in the development and administration of the department budget; ensures the continuation of District primary revenue (taxes) and debt financing; collaborates with staff and other agencies regarding the District’s taxing authority and bond issues.
    • Drafts and reviews legal documents including contracts, Memoranda of Understanding, Intergovernmental Agreements, procurement documents, pleadings, demand letters, Board Resolutions, Board staff reports, easements, leases, licenses, and any other documents as required.
    • Advises the Board of Directors and Executive Director on legal compliance, litigation, personnel, and other matters having legal implications for the District specifically in the field of public transit; participates in litigation and adjudicatory proceedings including various administrative appeals; converts the vision and interests of the Board to resolutions and policies balancing administrative control and providing proper policy guidance. 
    • Responds to internal and external requests for advice regarding District contracts and transactions; engages in professional discussions with internal and external customers to develop trust, maximize relationships, and to enter into transactions and contracts.
    • Performs periodic review of the bar bulletin and transit publications and monitors local news stories to ensure attention to current changes in the law and politics of the region; performs research to assess specific tasks required for District operation and compliance.
    • Performs legal analysis and training to keep administrative staff apprised of changes and development of the law in fields pertinent to their work; performs ongoing study of impact areas specific to District management and operations.
    • Participates in the selection of, trains, motivates, and evaluates assigned personnel; works with employees to correct deficiencies; recommends and implements discipline and termination procedures.
    • Manages the recruitment and selection of outside counsel as needed to address uniquely specific aspects of law and practice related to the District; negotiates fee agreements to mitigate expenses to the District.
    • Oversees records management and contract management functions for the District; develops forms and policies and conducts staff training regarding records management and other laws and regulations.
    • Ensures compliance with federal grants; certifies compliance on all grants from the federal government into a federal system for transit asset management.  
    • Monitors and advises senior staff regarding legal, regulatory, legislative, litigation, labor, and related changes and court decisions that may have legal implications for the District including but not limited to employment law, state tax laws, labor management laws, and state and federal regulations of District finances and transactions.
    • Represents the department to other District departments, elected officials, and outside agencies; explains and interprets departmental programs, policies, and activities; negotiates and resolves significant and controversial issues.
    • Investigates and recommends modifications to programs, policies, and procedures as appropriate; oversees the monitoring of complex financial analyses.
    • Attends and participates in meetings, makes presentations, and provides legal advice to the Board of Directors, senior staff, outside agencies, other governmental entities, contractors, bond financing agencies, and state and federal regulatory agencies.
    • Attends and participates in professional group meetings; stays abreast of new trends and innovations in public agency law and federal transportation regulations.
    • Directs the maintenance of working and official departmental files.
    • Prepares, reviews, revises, and presents staff reports, memos, personnel actions, correspondence, various management and information updates, and reports on special projects, as assigned by the Executive Director.
    • Responds to public inquiries and complaints and assists with resolutions and alternative recommendations.
    Education and Experience: 
    Any combination of training and experience that would provide the required knowledge, skills, and abilities is qualifying. A typical way to obtain the required qualifications would be:

    Education:
    • Equivalent to a juris doctorate degree from an accredited college or university. 
     Experience:
    • Seven (7) years of increasingly responsible experience providing legal counsel in a governmental setting.
     Licenses and Certifications:
