Our office is currently seeking an Associate Attorney to support an exceptional team with an active and expanding practice. Our team works with nonprofits, for profits, churches, ministries, missionaries, medical practices, and other organizations across the country specializing in constitutional law, religious liberty cases, and various other legal practices. This exciting role offers growth and learning opportunities for a motivated self-starter with extensive legal experience who is willing to assist their clients on a national level.
The ideal candidate will have a strong background in contract drafting, mergers and acquisitions, corporate governance, real estate transactions, and general corporate matters.
The Position
Qualifications
· Juris Doctor (JD) from an accredited law school.
· Admission to a state bar and must be in good standing.
· 1-3 years’ experience in commercial transactional law.
· Abundant knowledge of contracts, mergers and acquisitions, commercial real estate, business formations, and general business practice.
· Strong computer skills with proficiency in MS Office, Clio, and document management.
· Must be able to multitask and successfully manage a variety of daily responsibilities.
· Must be able to work independently, be proactive, and work seamlessly with team members.
Responsibilities
· Drafting and reviewing a wide range of commercial contracts, including but not limited to sales agreements, leases, and business to business agreements.
· Assisting with mergers and acquisitions, drafting transactional documents.
· Advising clients on corporate governance matters, including entity formation and dissolution, compliance, and board governance.
· Conducting legal research and providing analysis and recommendations to clients and senior attorneys.
· Preparing contracts, real estate closing statements, pleadings, appeals, and other legal documents.
· Creating MOUs and MOAs for organizations to do business together.
· Review yearly annual report filings.
· Collaborating with internal teams and external parties to ensure timely and effective completion of legal matters.
· Investigating facts and laws of cases and searching public records and other resources to prepare cases and determine causes of action.
· Gathering and analyzing statutes, decisions, and legal articles, codes, documents and other data.
