Job Summary:
We are seeking a skilled and detail-oriented Contracts Paralegal to support our legal team in managing and administering contracts.
The Contracts Paralegal will be responsible for reviewing, drafting, and negotiating contracts, as well as providing general legal support.
The ideal candidate will have strong organizational skills, excellent attention to detail, and the ability to work efficiently in a fast-paced environment.
Responsibilities:
Contract Review and Analysis:
Reviewing contracts and agreements to ensure compliance with legal and regulatory requirements.
Analyzing contract terms, conditions, and clauses to identify potential risks and liabilities.
Assisting attorneys in preparing contract summaries, reports, and risk assessments.
Contract Drafting and Preparation:
Drafting, editing, and preparing various types of contracts and legal documents, including agreements, amendments, and addendums.
Ensuring contracts accurately reflect the intentions of the parties involved and comply with company policies and legal standards.
Collaborating with internal stakeholders to gather necessary information and documentation for contract drafting.
Contract Negotiation and Management:
Assisting in contract negotiations with clients, vendors, suppliers, and other third parties.
Communicating with external parties to resolve contract-related issues and negotiate favorable terms.
Managing contract lifecycle processes, including contract execution, tracking, and renewal.
Legal Research and Compliance:
Conducting legal research on various topics related to contracts, laws, and regulations.
Monitoring changes in laws and regulations affecting contract management and compliance.
Providing guidance and recommendations to ensure contracts comply with legal and regulatory requirements.
Document Management and Organization:
Maintaining accurate and up-to-date contract records and documentation.
Organizing and managing contract files, databases, and repositories.
Implementing document retention policies and procedures in accordance with legal requirements.
Qualifications:
Bachelor's degree in Paralegal Studies, Legal Studies, or a related field.
Paralegal certificate or equivalent certification preferred.
Previous experience as a paralegal or legal assistant with a focus on contract management.
Strong understanding of contract law, legal terminology, and contract drafting principles.
Excellent written and verbal communication skills.
Proficiency in legal research and document review.
Ability to work independently and prioritize tasks effectively.
Detail-oriented with strong organizational and analytical skills.
Proficiency in Microsoft Office Suite and contract management software.
Experience with electronic document management systems (DMS) preferred.
