Ethics & Compliance Business Unit Manager oversees and promotes the organization's global ethics and compliance function. Implements programs to assess and manage legal and regulatory compliance risks and establish high ethical standards of conduct for the organization. Being an Ethics & Compliance Business Unit Manager communicates the organization's ethical standards, policies, and regulations. Delivers employee training programs that raise awareness about ethics-related topics such as Anti-Bribery, Anti-Corruption, Antitrust, Conflicts of Interest, and others. Additionally, Ethics & Compliance Business Unit Manager conducts compliance monitoring, investigations, and remediations of any non-compliant actions. Manages the administration of confidential reporting systems or helplines for employees, customers, contractors, and other stakeholders to disclose violations of the organization's ethical standards, violations of law, or policies without fear of retaliation. Typically requires a bachelor's degree. Typically reports to a director. The Ethics & Compliance Business Unit Manager manages subordinate staff in the day-to-day performance of their jobs.     Departmental Overview

    The Office of Risk Services is responsible for developing, implementing, and monitoring risk management for the campus, identifying and developing strategies to minimize the impact of risk, reducing costs and improving safety by executing new ideas and strategic plans in a rapid manner. By strategically managing risk we can reduce the chances of loss, reputational damage, operational disruptions, create greater financial stability and protect the campus's resources in support of UC's mission.

    Under the guidance of the Campus Risk Manager, the Assistant Campus Risk Manager (ACRM) will lead a broad range of efforts in connection with protecting the institution from loss. The ACRM will develop and coordinate activities and programs that are designed to promote accountability, identify and minimize risk of all types, and strengthen the effectiveness and efficiency of controls.

    Responsibilities

    Contract Review

    • Provide redline edits analysis and review of complex loss areas in campus contract/agreements including but not limited to Intellectual Property agreements; Licensing Agreements; Real Estate; Services Agreements; Cyber contract review; Industry Alliance; Agreements; Right of Entry Agreements; NIH grant reviews; Business contracts; Sponsored Projects agreements; Training agreements
    • Interpret insurance, indemnification and limitation of liability provisions to ensure the organization is adequately protected.

    Litigation Coordination

    • Liaise with Office of General Counsel, campus counsel, Office of the President-Risk Services, Third Party Administrator, and campus units to assure that the defense of lawsuits against the campus is handled and resolved properly.
    • Provide research into loss history of litigated claims and document production/collection activities on behalf of outside hired counsel.
    • Serves as a client representative when appearing in court for matters such as mediations, arbitration, and other legal proceedings filed against the campus.
    • In consultation with campus counsel, issue litigation hold notices when a lawsuit becomes active.
    • Makes recommendations to delegated campus authorities regarding settlement or defense of lawsuits.


    Office Workflow Management

    • Oversee the day-to-day workflow production of ERM Analysts handling of the campus Property, Auto and GL self-insurance programs to ensure office productivity and timeliness standards are met.
    • Assign response to telephone calls and emails from departments and clients to relevant ERM Analyst staff.
    • Report office progress to Campus Risk Manager to identify a plan to improve office operations and procedures.
    • Review Third Party Administrator's (TPA) handling of claims for accuracy and completeness.
    • Maintain underwriting data, prepare specifications for broker or underwriter bids, and evaluate bids.
    • Design, develop, and present training presentations to campus clients.

    Claims Management

    • Implement, and administer risk management insured and self-insured programs and operations with respect to insurance claims administration, contracts, and loss prevention.
    • Review close out of claims and approved Statements of Loss (SOL) and Settlement Authorization Requests (SAR) authorizing payment.
    • Implements and monitors control strategies and programs involving claim payments.
    • Assess deductibles, pursue subrogation opportunities with TPA, and recommend cost allocation strategies to improve program effectiveness.
    • Prepares specifications for broker or underwriter bids, evaluates bids, and recommends or concludes insurance contracts.

    Risk Assessment

    • Advise the campus on the appropriate response to a range of complex operational risks (physical, financial, legal, reputational, etc.).
    • Interpret risk management policies and procedures for departments and administration.
    • Interpret applicable CA penal codes, and various other State, Federal and local policies, laws and regulations with clear communication of any additions/changes/updates to departments.
    • Serve as FEMA catastrophe documentation coordinator for the campus as a member of the campus Emergency Operations Center (EOC) when a State or Federal disaster has been declared.
    • Ensure the proper and efficient gathering of documentation for record keeping, Federal Auditing and recovery purposes from declaration of state of emergency to funding approval.
    • Conduct control gap analysis.
    • Provide special event risk assessments for departments, students and third parties.

    Required Qualifications

    • Advanced knowledge in the following areas: risk management; insurance; redline contract review; forecasting and analysis; litigation coordination and document production
      Knowledge of, or demonstrated ability to learn, common organization-specific computer application programs, organizational processes and procedures, and an understanding of organizational rules and regulations.
    • Advanced insurance and indemnification interpersonal skills, strong writing skills, customer service orientation, active listening skills, critical thinking, and effective team leadership skills.
    • Demonstrated ability to effectively present and communicate complex risk findings in plain english and make recommendations verbally and in writing.
    • Advanced ability to develop course materials and deliver content effectively to diverse populations.
    • Bachelor's degree in related area and / or equivalent experience / training.

This range takes into account the wide range of factors that are considered in making compensation decisions including but not limited to experience, skills, knowledge, abilities, education, licensure and certifications, analysis of internal equity, and other business and organizational needs. It is not typical for an individual to be offered a salary at or near the top of the range for a position. Salary offers are determined based on final candidate qualifications and experience.

    The budgeted salary or hourly range that the University reasonably expects to pay for this position is $95,300.00 - $120,000.00.

    The full salary range for this position classification is 95,300.00 - 178,100.00
