Position Summary:
Dematic Corp. has an immediate need for a Commercial Attorney at our NA headquarters located in Grand Rapids, MI. This is a critical position to support continual growth of the North American Dematic business.
This position will be primarily responsible for reviewing, negotiating, and drafting legal documents related to the business of the Company, researching legal issues and providing legal advice on legal issues to assigned internal departments, including purchasing, sales and project management groups. In addition, this key role will provide legal advice and counseling to the sales and purchasing organizations with respect to commercial transactional matters.
Key Responsibilities:
Independently draft and negotiate contracts, including master and supplementary agreements
Respond promptly and accurately with minimal supervision to business requests for advice related to complex contracts and escalate to legal team and others where required
Prepare analysis to identify key terms, comparisons to our standard agreements and recommend strategy to business as needed
Tasks and Qualifications:
- 5 years of legal experience (law firm, and /or in-house)
- Juris Doctor from an ABA accredited school. Must be admitted to practice law in Michigan and/or any US state
- Ability to Identify and resolve moderately complex problems and apply problem-solving skills
- Experience in applying knowledge of drafting and negotiating moderately complex contracts
- Demonstrated ability to apply knowledge of fundamental concepts, practices, and procedures to commercial contracts
- Strong communication, problem-solving and team building skills are necessary to work with various technical disciplines, internal departments, and the global legal team
- Strong interpersonal skills and the ability to lead and manage multiple projects in a corporate setting
- Ability to work with standard office suite tools (Microsoft)
- Ability to travel (approximately 10%)
- Experience in drafting and negotiating complex commercial contracts, software licensing agreements and development agreements
- Experience in Corporate M & A transactions and due diligence
- Experience with turnkey construction contracts and construction law
- Fluent in Spanish speaking is a plus
