About the role
You will have heavy involvement in acquisitions, working directly with our internal Acquisitions Team and General Counsel. You will play a large role in the legal due diligence process. In addition, you will work with our client base and be responsible for leading the efforts associated with negotiating, drafting, reviewing, and revising complex agreements. The Deal Attorney will report to the Senior Corporate Counsel.

This is a hybrid remote role, offering a flexible work arrangement out of our Vienna, VA office.

You Will

• Negotiate and draft acquisition and assignment documents, amendments, and related ancillary documents and schedules relevant to buying assets and related matters for a company in the regulated industry of vision care and optometric practice management
• Confer with the acquisition team and related acquisition and on-boarding teams within the practice management team; own and build out project flows and agreement templates
• Oversee diligence process: analyze documents and issue spot risk, organize and report on timelines/metrics
• Manage outside counsel and leverage them for drafting and negotiations as needed
• Contribute to the acquisition team committee meetings and have up-to-date knowledge of major projects, deals and goals
• Interaction with selling optometrists, opticians, field personnel, outside and opposing counsel in problem solving and dispute resolution
• Manage redline and track-change processes for multiple deals and agreements in unison

About You

• 5 Years of firm or in-house corporate experience with joint ventures, acquisitions and significant drafting background, as described above
• Juris Doctor from ABA Approved School, passage of State Bar Exam and in good standing
• Ability to gain Corporate Counsel designation with Virginia Bar
• Proven drafting, project management and database experience
• Success in building relationships and gaining trust with affiliated doctors and business managers
• Advanced skill in conducting legal research and using relevant software and databases
• Advanced organizational, planning, and problem-solving skills
• Advanced skill developing and maintaining collaborative working relationships with all levels of leadership, staff, vendors, government officials, landlords, etc.
• Highly motivated self-starter with a proactive mindset with the ability to work independently
• Advanced verbal, interpersonal and written communication skills
• Managing workflow among multiple projects

Salary : $115,000 - $146,000
