About the Position

We are seeking a skilled and experienced Corporate Law Clerk to join our dynamic legal team. The successful candidate must have a minimum of three years of experience as a corporate and commercial law clerk, with a strong background in various corporate legal matters. This position is entirely in-person, and remote work is not an option. Real estate law experience is an asset, but the primary focus of this role is corporate law.

Qualifications:

• Minimum of three years of experience as a corporate and commercial law clerk.
• Proficiency in preparing and reviewing minute books, including remedial work.
• Experience in handling corporate reorganizations.
• Familiarity with incorporating federal and provincial corporations.
• Extensive experience assisting with section 85 rollovers.
• Extensive experience assisting with share purchase and asset purchase transactions.
• Ability to assist with drafting commercial contracts.
• Real estate law experience is an asset but not required.
• Strong organizational skills and attention to detail.
• Excellent communication and interpersonal skills.
• Ability to work independently and as part of a team.
• Understanding of the following software is an asset: Clio, Unity, LDD, Appara, LLC, MS word, Adobe Pro, DocuSign, Google Sheets and Google Drive.
