Posting Close Date: August 31, 2023 *** DOMESTIC RELOCATION IS INCLUDED*** The Opportunity TC Energy is looking for an attorney with 7 - 10 years of experience developing energy projects, who will be primarily responsible for providing legal support to TC Energy’s Power & Energy Solutions (PES) business unit in connection with the development, acquisition, construction, operation and disposition of renewable power generation and storage, and other low carbon energy projects, including hydrogen, renewable natural gas and CCUS in the United States and Canada. This position is located in Houston, Texas and reports to the Director, Legal, of the Power & Energy Solutions legal department. Our ideal candidate would have a big-firm background in (energy-focused) project development, finance and/or construction and be passionate about accelerating the world’s transition to sustainable energy. This is a great opportunity for a pro-active and entrepreneurial lawyer to work with a fast growing and dynamic PES business unit within a large international infrastructure company. What you'll do Provide advice and legal support on a wide variety of strategic, project development and transactional matters for the PES business in the US, including origination & development, commercial and other customer-centric decarbonization initiatives Independently draft, structure and negotiate all aspects of customized, multi-million dollar structured energy transactions, including mergers and acquisitions, joint ventures, off-take, supply contracts and energy management agreements for renewable project transactions, with a good familiarity with financing-related matters Structure and negotiate build transfer agreements for renewable projects, energy storage and solar storage projects (both utility scale and behind-the-meter), equipment supply, EPC, O&M, lease, power purchase, performance guarantee and associated warranty agreements Prepare and maintain contract templates and forms, and stay abreast of market terms and update contract provisions as appropriate Review and help prepare responses to requests for proposals and other competitive tenders Provide legal support to other matters on an as-needed basis due to other Legal team member’s availability and business requirements Work closely as part of a team with attorneys providing similar support to TC Energy’s marketing and trading wholesale transactions to ensure consistency Anticipate and guard against legal and regulatory risks involving the organization Good understanding of power and renewable commodity transactions - with particular emphasis on ISDA Master agreements, EEI Master Agreements, NAESB Agreements, and complimentary transaction documents Advise business units regarding diverse array of legal issues ranging from credit support matters, bankruptcy contingency planning and general state (PUC), regional (ISO) and federal (FERC) regulatory issues Responsibilities will also include assistance in overall compliance with federal, state and/or local laws and regulations; and such other transactional and contractual matters for TC Energy and its subsidiaries as may be required from time to time Minimum Qualifications Excellent academic credentials, preferably with a J.D. from a top-ranked law school 7 - 10 years of experience developing energy projects at a well-regarded law firm, with in-house experience at a company in the energy industry strongly preferred Must hold an active law license in at least one state bar Strong knowledge of substantive areas involved in energy projects, including real estate, EPC contracts, grant programs, marketing, offtake and supply agreements, NDAs, joint venture arrangements and commercial agreements Experience structuring and leading negotiation of large transactions in energy, construction, project finance including back leverage and tax equity financing. Preferred Qualification Preference given to candidates with prior experience with power generation, energy storage, hydrogen and CCUS development projects, and partnership / joint venture / project finance structures A team player with the ability to proactively identify problems, drive projects, make complex cost/benefit assessments, and identify pragmatic/creative legal and business solutions Ability to work both autonomously and collaboratively and to juggle competing priorities in a fast-paced, challenging environment A quick and flexible learner, intellectually curious, open-minded, adaptable, comfortable with ambiguity and risk, and excited by dynamic change Strong interpersonal skills, with the ability to quickly earn the confidence of colleagues and effectively communicate with people at all levels of the organization High standards, impeccable integrity and ethics, unquestionable good judgment, well-honed analytical skills, superior oral and written communications skills Familiarity with federal (FERC) and regional (ISO) rules and regulations. Good understanding of the principles and can independently use the knowledge Professional judgment and sensitivity necessary to earn client confidence.
