AES Clean Energy (AES) is currently seeking a Senior Real Estate attorney to assist with the development, construction, financing, and operation of wind, solar, battery storage, and green hydrogen projects throughout the United States. The AES Real Estate Legal Team is an integral part of that effort, working in coordination with the Real Estate and Land Acquisition teams, to obtain the real estate rights necessary to develop, construct, finance, and operate AES’ projects across the country. The successful candidate will work on the Real Estate legal team, reporting to the Associate General Counsel for Real Estate. This is a significant and fast-paced role working with internal and external key partners and will provide immediate exposure to a wide variety of renewable energy matters, including outside the real estate space. The role requires the ability to work on multiple tasks and projects and may include some travel as needed. The successful candidate will work on a cross functional team with origination, project development, legal, finance, engineering, construction, and outside consultants, attorneys, surveyors, landowners, customers, project stakeholders, and utility companies. The candidate must be located within the US territory. Principal Duties and Responsibilities: Assist in a wide variety of real estate transactional matters, including preparing and negotiating various real estate instruments such as purchase or lease agreements, deeds, affidavits and estoppels, reviewing title proformas and surveys and coordinating closings by running closing checklists and deadlines. Coordinate with escrow and title officers, surveyors, legal counsel, and AES Real Estate team members. Support AES Real Estate team to resolve unique title and survey issues. Assist and provide legal advice in all legal real estate aspects of project development, construction, and financing, including ongoing survey activities, site plan review and buildable area analyses, and negotiations with investors and title companies to obtain suitable lender’s and owner’s title policies. Support project legal diligence and provide real estate perspective on transaction documents for construction loans and tax equity investments. Provide real estate diligence support for M&A transactions. Manage outside counsel and junior team members. Desired Experience and Skills: At least 7-8 years of real estate transactional or title experience, preferably at a law firm, sophisticated in-house legal department, or title company. Renewable energy sector experience strongly preferred. Background with financial and real property closings, title and survey review, and title insurance policies. Experience with financing, corporate, M&A, and permitting matters is a plus. Project and case management skills including a strong attention to detail and an interest in handling and prioritizing multiple projects and deadlines. Active license to practice law required. Proficient knowledge of Microsoft Office software. Passion for renewable energy development! Excellent verbal and written communication skills, including interpersonal communication skills. Self-starter with an ability to work effectively as an individual and as part of a team.
