The Role
Andersen is growing its M&A services practice and looking for dynamic experienced professionals who want to become specialists in corporate and partnership M&A tax issues. The M&A services team advises clients around tax efficiency, benefits and risks of potential transitions, addresses complex issues related to corporate and partnership transactions, performs analysis to assess the federal and state tax consequences of transactions, and executes tax integration of acquired enterprises.
Candidate must possess expertise in advising corporate and private equity clients with respect to buy-side and sell-side transaction structuring, tax due diligence, modeling, and post-transaction integration. Andersen M&A service team members are expected to have deep technical knowledge as to both corporate and flow-through tax transactional considerations. Core competencies for the M&A services practice include analysis of buyer and seller historical tax positions and attributes, the preparation and presentation of tax due diligence reports, modeling various structuring alternatives, and computing tax cost and benefits associated with proposed transactions.
M&A service team members will also assist clients with post-transaction integration matters, including purchase price allocation and tax amortization calculations, IRC Section 382 studies, Earnings and Profits calculations, transaction cost analyses, and other Subchapter C and Subchapter K tax matters.
Candidate must possess and maintain strong written and oral presentation skills, conduct tax research, supervise and develop other professional staff, and effectively manage large projects with multiple work streams. Managers in this role are also expected to engage in networking and business development activities inside and outside of Andersen. M&A service team members also assist the corporate tax group during periods of downtime, assisting various client service teams with general corporate tax matters, including tax compliance and ASC 740.
The Requirements
- Bachelor’s degree required; Master's of Tax and/or Juris Doctorate preferred; Accounting, Finance, Economics or related undergraduate degree preferred;
- Advanced credential allowing for client representation before the Internal Revenue Service required (i.e. CPA or JD);
- At least 5 years relevant work experience with a national accounting firm or Big 4 or equivalent Industry experience;
- Knowledge of M&A practices, including corporate, private equity, and tax integration; Knowledge in the areas of Subchapter C transactional issues, consolidated federal tax returns, IRC Section 382, Earnings and Profits, Subsidiary Stock Basis and transaction costs would be an advantage;
- Leadership and organizational skills;
- Excellent communication skills, both written and verbal;
- Exceptional interpersonal skills and a natural facilitator;
- Self-starter with the initiative to seek out opportunities and ability to work successfully in a fast-paced, high-pressure environment;
- Excellent problem solving and analytical skills and Proficient use of technology including MS Excel.
