Position Title: Assistant General Counsel, MMS
Immediate Supervisor: Segment Counsel, Medical Segment
Location: San Diego, CA, Hybrid
The Position:
The Assistant General Counsel, Medication Management Solutions, will be a member of the Law Group and report to the Segment Counsel, Medical Segment.
The successful candidate will be a core member of BD’s legal team helping drive the Company’s mission, protecting the Company, and serving as a trusted advisor, business partner, and strategic leader within the legal department and the Company. They will provide legal support and serve as lead counsel for one or more platforms within BD’s MMS Business Unit. Key responsibilities include counseling with respect to, and negotiating and documenting, general commercial matters arising out of assigned areas of product and business responsibilities, including business strategy, marketing, M&A, commercial development, purchasing and sales. Works with professionals across functions and contributes to the development of legal strategy, including education, and legal support processes.
The successful candidate must possess strong knowledge of corporate and commercial/transactional law and demonstrated expertise in drafting and negotiating complex commercial agreements and advising and counseling clients on a range of business transactions, and in the development of new products and innovations in multiple areas of law focused on the medical device industry.
The successful candidate will be a “hands-on” attorney who is able to operate autonomously, yet effectively collaborate across a matrixed organization. This position has direct client contact at the business unit leadership level and the corporate leadership level. The successful candidate will have the opportunity to make an immediate contribution to BD’s continuing growth and success. Roles and Responsibilities:
- Serve as lead counsel for one or more platforms within the BD MMS business unit.
- Identify and resolve complex legal issues to support the commercial operations of the business, including developing strong knowledge of BD MMS portfolio and clients.
- Provide day-to-day legal advice to the MMS business and for the drafting and negotiation of a wide range of commercial agreements.
- Develop innovative solutions to legal issues in support of strategic business initiatives and objectives.
- Design legal support processes and milestones to align and achieve business strategic goals.
- Advise on strategic plan development and execution for business units/products, including by collaborating with other professionals in the law group and in other functions.
- Proactively advise on legal risks related to business activities, develop solutions to mitigate risk and influence key business leaders.
- Advise and consult with cross-functional stakeholders, including regulatory, quality, medical affairs, finance, sales, compliance and marketing.
- Review, revise, draft, negotiate and advise on sophisticated and complex contracts.
- Support M&A activity, including leading legal diligence and integration activities.
- Communicate regularly with senior leaders of the Law Group, keeping them abreast of key issues and escalation points
- Monitor legal and industry trends that may impact the business and apply them to legal advice.
- Provide advice and counsel on software, technology, integration, SaaS and solution selling.
- Leverage prior experience to advise on emerging issues relating to data analytics, machine learning and artificial intelligence development, including data use and governance.
- Maintain familiarity with laws that affect the medical device industry, including those relevant to sales and marketing of products to health care professionals and reimbursement by government programs, including, for example, fraud and abuse (Anti-Kickback Statute, False Claims Act), FDA regulation (Food, Drug & Cosmetic Act), privacy (HIPAA), security (pre and post market FDA guidance), and anti-corruption (Foreign Corrupt Practices Act).
- Develop strong relationships throughout all functional areas, departments, and divisions to foster an advisory or collaborative approach to proactive compliance.
- Collaborate across many functions, countries, cultures, and time zones to drive results on complex projects.
- Represent BD externally to suppliers, partners and customers.
Required Qualifications & Skills:
Experienced practitioner, with 10 or more years of relevant law firm and/or corporate in-house law department (preferred) experience, and specific focus on medical technology transactions.
The successful candidate will hold a J.D. or L.L.M with strong academic credentials from an accredited law school and will have obtained an undergraduate degree from a college or university of recognized standing.- Admission to the California Bar, and a member in good standing, or eligible to practice as California Registered in-house counsel under California Rules of Court 9.46 required.
- Solid analytical and conceptual skills, critical thinking, and problem-solving skills.
- Superior written, verbal, and interpersonal communication skills with an acute ability to listen attentively and to communicate effectively throughout all levels of the organization.
- Outstanding analytical, legal drafting and negotiation skills regarding a broad variety of agreements.
- Technical proficiency; good understanding of clinical conditions, products and technologies.
- Strong business acumen.
- Ability to present nuanced, complicated, and content rich issues clearly and succinctly.
- Strong interpersonal and relationship skills and ability to influence diverse stakeholders, navigate controversial situations, and change traditional ways of doing business.
- Demonstrated ability to be proactive, exercise independent judgment, and manage multiple projects simultaneously.
- Knowledge and experience with global privacy and data protection laws such as HIPAA and GDPR is a plus, but not required.
- Ability to produce high-quality work under significant deadline pressures.
- Ability to commute into office location for three days per work week (hybrid model).
- Ability to travel up to 10% of the time.
