**General Description:**
The Senior Contracts Counsel will report directly to the Executive Director, Applied Innovation Strategy and is a member of the Applied Innovation Team, a highly innovative and entrepreneurial team incubating platforms solving for clinical trial inefficiencies, rising costs of drug development, technological challenges in healthcare/pharma tech, and fragmented data silos. The incumbent will oversee preparation, negotiation and execution of agreements across entire function.
**Essential Functions of the job:**
Develop the contracting legal function within team, oversee policies and processes for Applied Innovation, including:
Development of template agreements and negotiation practices
Implementation and oversight of a contracts management process
Prepare and negotiate agreements including, software and technology licensing agreements, master service agreements, clinical trial agreements, clinical development agreements, sponsored research agreements, consulting agreements, confidential disclosure agreements, and academic and private sector collaboration agreements
Partner with external counsel as needed on agreement drafting and execution
Work closely with finance teams to guide contract processes, suggest and implement new / more efficient processes as needed
Ensure contracts are compliant with legal regulations and company policies
Proactively guide function on contractual rights and obligations
Provide legal support to business development activities as needed
**Qualifications:**
JD from an accredited law school and license to practice in at least one US state
Minimum 5 years' experience in contracts preparation, negotiation and administration, in a biotech, pharmaceutical, or health technology company required
Ability to provide clear and concise contracts advice and partner with individuals at all levels of the company
Excellent interpersonal skills and ability to thrive in fast-paced environment
Strategic mindset with high intellectual capability, agility and adaptability
Results oriented with a propensity for innovative thinking
Resourceful, decisive and proactive; must be able to manage multiple priorities in a fast-growing organization

**Education Required:** JD and admission to the bar of at least 1 US state; 5 years of experience working in contracts negotiation and administration in life sciences or healthcare technology industries either as in-house counsel or external.
