As a Contracts Manager at Caterpillar Defense, the incumbent will manage a Contracts Team of 5-10 people and will be responsible for the management of the contract process and risks in accordance with Caterpillar's legal and compliance policies, risk management processes and commercial contract compliance. The Contract Manager is an essential and key position with high visibility within the organization and is integral member of Contracts Team.
A successful candidate will be one that is energetic, is a self-starter, and works well in both team and individual environments. This position requires the ability to pivot quickly between functional roles connected with Program Management, Business Development, the Contracts organization and various levels of Management and Senior Leadership throughout Caterpillar Defense in developing creative solutions and coordination of contractual risk mitigation.
Job Duties/Responsibilities:
- Manages contact review, analysis and drafting of the terms and conditions and other documents relating to contract process to ensures consistency and completeness of contract terms and exhibits; ensures contract requirements/obligations are in compliance with Caterpillar's policies and processes risk management processes and commercial contract compliance; and that the overall contract workflow continues to function in an efficient and timely manner in line with Caterpillar's legal and compliance policies, risk management processes and commercial contract compliance; manage the approval process prior to contract signatures and the contract signature process to ensure compliance with Caterpillar's policies including the approval policies and signature policies
- Manages the contracting process from the bid phase to project execution including creating handover documentation and training, supporting project management and finance by summarizing and tracking key contract terms and risk, assist with project reports and calculations including billing plans, which serve as a basis for decision making and project controls and project profitability
- Work as a member of multiple teams, including lead and individual contributor roles connected to Business Development, Program Management, & Engineering.
- Provides proactive, strategic and business oriented guidance and solutions to internal business teams on corporate initiatives and objectives relating to contract management.
- Support dynamic, deadline-driven proposal preparation activities as the contracts partner with Business Development and a diverse customer set
- Support proposal activities including, but not limited to analysis of solicitations, preparing summaries, and developing strategies and recommendations based on the analysis, preparing the terms, conditions, and assumptions upon which the proposal may be submitted, reviewing the proposal for accuracy and consistency, and preparing the proposal documents for submittal to the Customer.
- Summarize complex contractual issues; prepare, develop, and offer recommendations to leaders regarding creative solutions and risk mitigation planning.
- Provides strategic advice and contributes expertise and experience and proactively manage risk and help develop risk mitigation strategies as well as "lessons learn" to avoid identified project risks.
- Primarily responsible for negotiations; supports development of negotiation strategies and supports and coordinates with the negotiation team on complex contractual issues
- Apply working knowledge of the FAR and DFARS in execution of agreements within a government commercial environment
- Perform internal audits and process improvements related to contract administration, oversight
- Act as primary point of contact between the Company and the Customer for all contractual matters on assigned contracts and projects
- Partner with teammates to support internal self-governance initiatives, ensuring compliance with policies and procedures
- Assists in identification, development and implementation of new contract templates, policies and processes.
- Ensure compliance with Government DCMA related functions in support of compliant systems
- Leads the development of prime contract flow down documents for subcontracts and works closely with the Subcontract Administrator assigned to program to ensure subcontracting activities, consent requirements and prime contract flow downs are carried out in a manner consistent with prime contract requirements and operational objectives
Basic Qualifications:
- Education/experience: Bachelor's degree and 10 years of related work experience
- Complex project related supply contracts
- Master supply agreements
- Distributor agreements
- Complex multi-year service and/or Operations & Maintenance (O&M) agreements
- National and international sourcing agreements
