Job purpose

 

The Paralegal in M-L Holdings Company’s Legal Department will provide critical support to the General Counsel on matters ranging from corporate governance to M&A transactions, real estate investments, employment issues, and various other legal issues.  This position will routinely interact with other members of the M-L Holdings Company executive and management teams, operating company leadership, and outside attorneys, and tax and financial advisors.  

 

Your primary accountabilities will include restructuring the maintaining the corporate records system.  You should also expect to work on a broad range of transactions and legal matters in the areas noted above.  Success in this role will require steadiness, adaptability, and the ability to see the big picture while working independently and taking care of important details.  

 

This job will be based in Denver, CO, and will require at least 3 days per week in-office with the remaining 2 days per week in-office or remote, as needed.  Schedule flexibility is required to effectively manage time between remote and office work, as transaction closings, certain team meetings, and various other factors will sometimes dictate in-office days and time required. 


The salary range for this position is $70,000-$90,000 annually with discretionary bonus.

 

Duties and responsibilities

 

  • Corporate Governance – Modifying the company’s CSC-based records database; working with the General Counsel and others to create a new process for generating, filing, and archiving corporate resolutions and consents; updating and accuracy-checking the corporate books; and maintaining the company’s ever-changing corporate records on an ongoing basis.
  • M&A – Coordinate with the General Counsel and other team members to support various aspects of transactions.  Help coordinate due diligence efforts and support document review and tracking of the overall transaction process.  Support deal closings by coordinating, soliciting, and compiling signature pages.  M-L Holdings Company is an active acquiror, and typically completes a few transactions per year.
  • Real Estate – Maintain corporate records for the special purpose entities holding our real estate assets, alongside the operating company records in CSC.  Assist the General Counsel with document reviews, redlining/counter-redlining, transaction planning, due diligence tracking, and coordination of the various stakeholders involved in real estate transactions (lenders, surveyors, title companies, environmental consultants, etc.). 
  • General Legal Support – Assist the General Counsel with various legal matters for M-L Holdings Company and its subsidiaries, to include: financing and credit facilities, labor and employment, civil litigation, federal/state/administrative compliance, procurement, business licensing, and general corporate matters.  
  • Assist with preparation and review of various internally- and externally-generated legal documents, including primary review of routine legal documents such as confidentiality agreements, vendor agreements, and various other contracts, with oversight from the General Counsel.
  • Schedule meetings and calls.
  • Assist with legal department invoice review and approval, expense tracking, and budget management process.
  • Design, recommend, and implement new processes and procedures to increase group efficiency and organization and the effectiveness of future integration efforts.
  • Special projects, as needed.

 

 

Qualifications

 

4 or more years of relevant work experience with a Bachelor’s Degree or at least 3 years of work experience with an Advanced degree (e.g. Masters, MBA, or JD).

 

Preferred qualifications:

  • 6 or more years of work experience with a Bachelor’s Degree or 4 or more years of relevant experience with an Advanced Degree (e.g. Masters, MBA, or JD) 
  • Relevant experience as a corporate paralegal, preferably with an in-house legal department at a complex private or public company or a mid-sized or larger law firm.  Work with clients in heavy industries a plus (heavy construction, oil & gas, mining, marine work, etc.).
  • BA/BS degree or equivalent experience, excellent academic credentials.
  • Paralegal certificate (ABA Approved) preferred but not required; practical experience in an in-house legal department is more important for this role. 
  • Good business sense in balance with practical legal knowledge and experience required. General familiarity with business accounting, general business fundamentals, and the typical priorities of executive teams a plus.  
  • Proficient in Microsoft Office programs including Word, Excel, PowerPoint, Outlook and Teams.        Familiarity with CSC a plus.
  • Strong writing and oral communication skills, including ability to communicate effectively internally (with all levels of the organization) and externally.
  • Excellent analytical skills, with a strong ability to review and organize numerous legal documents and numerous unrelated legal projects.
  • Ability to manage multiple, complex projects simultaneously under deadline pressure.
  • Hard working, well-organized, resourceful, thorough and detail-oriented.
  • Must be comfortable working on important, highly confidential matters and managing information and workflows accordingly.  The position requires sound judgment and high emotional maturity, with the ability to cultivate and maintain trust.  The ability to maintain confidentiality and navigate professional responsibilities in sensitive situations will be essential. 
  • Self-starter with ability to work independently with minimal instruction and oversight.
  • Excellent interpersonal skills, dynamic and highly team-oriented.

Work is completed in office.

 

Physical requirements

Requires sitting for long periods of time; ability to lift to 20lbs.
