Job Summary
The Commercial Contracts and Corporate Paralegal will be responsible for preparing drafts of commercial contracts, corporate resolutions, minutes, forms and reports, and assist with non-legal tasks such as payment of invoices. This role will work closely with a variety of business and commercial teams and support the legal team. This role will report to the General Counsel.
Responsibilities
- Draft basic legal correspondence, forms and reports
- Review and draft basic legal contracts such as confidential disclosure agreements, and terms and conditions, board meeting and minutes
- Provide contract support such as preparing executable drafts of contracts for finalization, assisting with contract version management and tracking contracts through their lifecycle from inception through execution
- Provide guidance to business stakeholders as required, including, but not limited to advising on contract template usage, contract interpretation, drafting, and negotiation.
- Update and maintain contract templates
- Support contract filing and contract management in the organization’s contract database
- Review and assist with payment processing of invoices from legal vendors
- Provide day-to-day support for the commercial and legal team
- Assist with non-legal tasks including acting as a liaison with various business units and affiliate companies
- Resolve routine legal questions under the direction of an attorney
- Minimum of an Associate Degree or a Paralegal certification (NC and SC) is required; Bachelor’s Degree preferred
- 3+ years of full time experience as a paralegal is required; in-house/corporate paralegal experience preferred
- 1 year supporting commercial contracts required
- 1 year supporting maintenance of corporate books required
- Proficiency with database systems and Microsoft Office (Word, Outlook, Excel, and PowerPoint)
- Excellent writing, verbal and interpersonal communications skills
- High degree of accuracy and attention to detail
- Ability to set priorities and work under pressure to meet time deadlines is required
- Self-starter who is detail oriented, analytical, highly organized and can work both independently and as part of a group
- Ability to maintain a high degree of confidentiality and be able to interface.
effectively with internal/external customers, attorneys, and other professionals. - Ability to make decisions
- Spanish fluency is a plus
