DayTwo is seeking a talented Contracts Counsel to join our growing, world-class team. The Contracts Counsel role is a newly created position that will support the legal team in providing general corporate and contractual advice to DayTwo and appreciates the art to contracting. The successful candidate will assist with general commercial, healthcare contracting, and vendor matters. As a strategic partner to the business, this Counsel will also help to build processes, templates, and other mechanisms to support growth, manage risk and drive collaboration.

In this role, you will be responsible for managing and prioritizing a high volume and broad range of inbound and outbound contracts. You will be drafting, reviewing, revising, and negotiating general corporate, vendor, and commercial agreements, including customer agreements and amendments, business associate agreements, business development agreements, data transfer and use agreements, software licensing agreements, supplier agreements, distribution agreements, professional services agreements, non-disclosure agreements and reseller agreements.

You will be expected to establish productive relationships with the sales team and other internal stakeholders across multiple business units and functional groups. To succeed in the role, you must be able to analyze legal and business issues and develop creative approaches to enable contract execution while safeguarding the company and creating a positive customer experience.

The ideal candidate is a resourceful, independent self-starter who will bring to the role their legal acumen, expertise in drafting and negotiation, solid business instincts and judgment, and outstanding written and verbal communication skills. Experience in a Corporate Healthcare environment a plus

This position is Hybrid (WFH and Office) based in our Operations Headquarters in Tennessee. We ask that applicants be within commuting distance from Brentwood (Maryland Farms) Area.

This position requires ability to travel domestically and internationally.


DayTwo is the leader in telehealth-based precision nutrition for metabolic disease. Our customers include some of the largest employers and payers in the US. This position will join an international product and design team focused on building a flexible, robust care management system taking advantage of proprietary and platform technologies such as Salesforce, interoperability networks and telehealth technologies.


Your Responsibilities:

  • Serve as an organizational contact during contract negotiations.
  • Engage relevant stakeholders in negotiation decisions involving legal or regulatory requirements, financial or customer relations goals, technical or security issues, and contract standards.
  • Review, draft, revise, negotiate, and manage commercial agreements with insurance carriers or employer groups, software subscription and licensing contracts, SOWs, amendments, business associate agreements, data transfer and data use agreements, vendor agreements, NDAs, and other commercial agreements.
  • Escalate non-standard or complex matters to appropriate legal team members and internal resources.
  • Provide legal advice concerning contracts, including advising on complex proposals, negotiating terms, managing contract changes, identifying conflicts and/or desired changes requiring resolution at contract renewal, and advising on any contractual issues that may arise during offboarding.
  • Support the performance of existing contracts by advising DayTwo’s internal teams on contract interpretation and obligations.
  • Evaluate the legal consequences of contract terms, including the likely outcome should a dispute arise. Provide risk related input to executive management when necessary.
  • Pending budget approval, this individual will own the deployment of a contract management repository for purposes of managing workflow, tracking contracts, providing metrics, and retaining accurate contract records.
  • Works cross-functionally with Legal, Accounting/Finance, Sales, Account Management, Operations, Clinical, R&D, Technology, Product, Compliance, Privacy, and Information Security team members in developing and leading process and risk mitigation within the contract lifecycle.
  • Can train and advise sales team members on the preparation, negotiation, and execution of customer agreements.
  • Work on additional projects and initiatives as directed by the Executive Leadership Team and legal counsel.
  • Additional Qualification: Employment law experience to assist with overflow HR related agreements (offer letters, bonus plans)
  • Additional Qualification: Assist compliance team in buildout of market specific compliance programs; Assist in the development, implementation and adoption of firm-wide policies, as needed.

  • Experience with cost-effective contract management software to build into legal workflow; implementation of legal management software.
  • Experience in a corporate healthcare environment a plus.


Your Education and Experience:

  • J.D. with strong academic credentials.
  • A minimum of 5 to 7 years of post-grad legal experience in healthcare and/or healthcare technology.
  • Work at a law firm in a role dedicated to drafting/negotiating agreements; experience with startup clients.
  • Knowledge of healthcare regulations – Telehealth, CPOM, AKS, Stark.
  • Plus: Experience working with government agencies, Veterans Administration, and with state or federal government contracts.
  • Experience developing templates and implementing processes within the contract lifecycle preferred.
