Job Summary
The Corporate Counsel will provide support to the General Counsel. Ideal candidate will have 2-4 years of experience with a wide variety of corporate matters, including reviewing and drafting, and negotiating commercial contracts and handling legal matters as assigned by the General Counsel which may involve compliance, regulations, policies, risk management, employment, litigation support, commercial real estate, and others. Candidates will interface with executive and other senior level business leaders and collaborate with multiple departments as needed. Candidates must be interested in generalist legal responsibilities, possess strong communication skills (verbal and written) and business acumen, and be able to work with other counsel and business persons both individually and in a collaborative environment. Candidates should be licensed to practice in Texas
Essential Functions
- Give accurate and timely counsel to executives in a variety of legal topics
- Collaborate with management to devise efficient defense strategies
- Specify internal governance policies and regularly monitor compliance
- Research and evaluate different risk factors regarding business decisions and operations
- Apply effective risk management techniques and offer proactive advice on possible legal issues
- Communicate and negotiate with external parties, creating relations and building trust
- Draft and solidify agreements, contracts, and other legal documents to ensure the company’s full legal rights
- Provide clarification on legal language or specifications to members of the company
- Maintain current knowledge of alterations and changes in relevant legislation
- Advise relevant parties on contract status, legal risks, and the legal liabilities associated with deals
- Research and anticipate potential unique legal risks that could impact the company
- Provide training to employees of the company on legal topics
- Manage disputes and litigation
- Perform all other duties as assigned by management in a professional and efficient manner
Qualifications
- JD Degree from an accredited law school
- Member in good standing of the state bar of Texas or Louisiana
- 2-4 years’ experience in-house or at a reputable law firm

Environmental Conditions
This position will typically work in an air-conditioned office. Candidate will be using computers and tablets on a daily basis, however there may be moderate exposure to the outdoors, depending on task.
