About the Corporate Paralegal Job

Working with Fortune 100, 500 and 1000 corporations, start-ups, prominent high-profile individuals, the Corporate Paralegal will:

Responsibilities

• Draft corporate formation documents including preparation of Articles of Organization, Articles of Incorporation, Bylaws, Operating Agreements, Stock Certificates, IRS Forms, Foreign Qualifications
• Perform lien searches (Federal, State and County)
• Preparation of state and local filings (including financial and business)
• Maintain client corporate records including preparation of annual reports and annual minutes
• Research corporate entities and obtain documents on-line or via other means from various state agencies
• Research state and local statutes
• Transactional: Due Diligence, Signature Packets, Closing Checklists, Closing Binders.

About You

You are a highly talented Corporate Paralegal looking for new opportunities to advance your growing career. You love being a Corporate Paralegal and are the first person attorneys want to go to. You have a BA degree and preferably, Paralegal Certificate combined with at least 4 years transactional Corporate Paralegal experience, most likely in a law firm. You will have a stable work history and a demonstrated and successful track record and zest for your career.

Job Type: Full-time

Pay: $85,000.00 - $100,000.00 per year
