Job Description
esVolta is an innovative industry leader in development, design, construction, financing, and management of advanced energy storage projects. We are looking for a motivated and enthusiastic individual to join the esVolta team of professionals and experts as a Paralegal.
esVolta is seeking a Paralegal to support transactional matters, with a focus on supporting financings, M&A, and other key commercial transactions.  This person will play an essential role in the legal department, helping to manage debt financings, tax equity financings, asset and equity purchase and sale agreements, NDAs, master service agreements, etc.
 
 
 
Key Responsibilities
  • Transaction Management: Manage transaction checklists and efficiently orchestrate deal closings, ensuring all necessary documentation and tasks are completed accurately and on time.
  • Corporate Filings: File necessary corporate documents with state offices
  • Board Consents: draft board consents for organizational and transactional closing matters.
  • Order certified copies and good standing certificates
  • UCC: prepare and coordinate Uniform Commercial Code (UCC) filings.
  • Draft certificates such as secretary and officer certificates
  • Assist team with administrative tasks and data entry.  Upload agreements into company software.  Maintain current NDA agreements.
 
Skills and Qualifications
  • Exceptional attention to detail to ensure accuracy in legal documents and processes.
  • Excellent interpersonal, written, and oral communication skills for effective client interaction and team collaboration.
  • At least 5 years of full-time experience in corporate law transactions, with a focus on corporate finance and M&A. An interest in, or experience with, renewable energy is a plus.
  • Proficiency in Microsoft 365, with experience using Microsoft Teams and Box.
  • Paralegal certificate required.
 
Compensation and Location
Compensation: The anticipated annual salary plus bonus range for this position is listed below. The actual salary and bonus offered will depend on the specific skills and experience of the selected candidate.

 
Paralegal Salary $95,000 - $115,000 Bonus 20%
 
Location
· Flexible, option to work-from-home with periodic office visits for in-person engagement or to work from company offices in Newport Beach.
· Requires ability to travel to company offices, project sites and business meetings as needed.
