Position Summary

The Contracts Manager will be entrusted with comprehensive oversight and direct handling of contract-related processes within FFF Enterprises, Inc. and its subsidiaries (FFF). This role necessitates a high degree of expertise in reviewing, editing, drafting, and negotiating contracts. It also requires the ability to identify contractual risks independently and propose effective revisions and strategies to ensure all agreements align with FFF’s business objectives and legal requirements. The Contracts Manager will be responsible, among other tasks, for managing and reporting on contracts, to include NDAs, agreements with drug manufacturers, healthcare providers, GPOs, and other commercial agreements. In addition, the Contracts Manager will be responsible for taking a leadership role, in collaboration with other team members, in implementing and managing the contract management tool intended to enhance controls, efficiency and effectiveness around the FFF contracts ecosystem.

Essential Functions and Duties

  • The Contracts Manager will oversee a variety of contracts including, but not limited to: Distribution Agreements, GPO Agreements, with focus on Non-Disclosure Agreements, Customer Agreements, Purchase Orders, Supplier Agreements, Sub-contracts, Independent Consulting Agreements, IT Agreements, Licensing Agreements, Statements of Work and any other contracts necessary for FFF to carry out commerce. The role requires active participation in the applicable RFP and RFI processes.
  • This individual will closely collaborate with the Contracts Administrator and Senior Director of Contracts, and at times, the General Counsel to support the overall contract department’s functions and responsibilities. Their expertise will be fundamental in identifying and addressing potential contractual risks, demonstrating a strong grasp of the legal implications and business impacts.
  • The individual will be responsible for and work, along with other team members, on the management of the contract management tool and oversight of the contract lifecycle.
  • This position is considered an internal resource for FFF, as a point of contact for functional areas with contract responsibility for all functional areas with focus on all types of Forward Deployed Inventory (FDI) consignment program agreements, and other areas as may be assigned.
  • Manage the submission of Supplier Diversity Report, and other certifications and representations required of FFF.
  • Provide support in drafting, reviewing, analyzing, redlining, updating and standardizing acceptable contract language, as is possible, in order to minimize FFF’s overall contract risk, including terms and conditions in contracting practices.
  • This individual should be able to operate autonomously, demonstrating a deep understanding and knowledge of contracts.
  • Centralize all contracts in the company using acceptable information system tools which allow for the referencing and storing of key contracts.
  • Provide contract extracts to FFF operating managers to enable the business users to effectively understand the key elements of relevant contracts.
  • Responsible for developing best contracting practices and procedures.
  • Ensure that signed contracts are communicated to all relevant internal stakeholders to provide accountability, visibility and awareness and support in implementation and compliance.
  • Responsible for applicable contract close-outs, amendments, extensions and renewals.
  • Manage all commercial contracts coming into and out from FFF, specifically including FDI. Reviewing, editing, drafting, soliciting input from internal stakeholders, negotiating, managing and reporting on all relevant contracts, including contacts with drug manufacturers, healthcare providers, GPOs, NDAs and other commercial agreements.
  • Provide support in assessing, drafting and standardizing acceptable contract language, in collaboration with key stakeholders, used in all contracts.
  • Coordinate with project managers, legal and other functional areas regarding contractual issues.

  • Ensure conduct is consistent with all Compliance Program Policies and procedures when engaging in any activity on behalf of the company. Immediately report any concerns or violations.

Qualifications


Education, Knowledge, Skills and Experience

Required Education:

  • Bachelor’s Degree in Business Administration, Healthcare Administration, or equivalent combination of education and/or work experience. Juris Doctor degree is preferred.

Required Knowledge:

  • Advanced understanding of contracts and the ability to identify and manage contractual risks independently, demonstrating a nuanced understanding of business implications and legal requirements.
  • Solid understanding of information system tools to be an expert in document storage and retrieving from central repository for the company.
  • Significant expertise in Microsoft Office suite including WORD and Excel is required.

Required Experience:

  • Must have five (5) to seven (7) [nine (9) to eleven (11) for non-degreed candidates] years of related healthcare experience in contract review and negotiations, legal work, regulated industry or related field.
  • The candidate must have extensive experience drafting, reviewing, and analyzing legal contracts, terms and conditions.
  • Strong legal experience is required.

Preferred Experience:

  • Experience working with and/or implementing contract management tools highly desired.
  • Law firm and/or industry experience is a plus.

Physical requirements

Vision, hearing, speech, movements requiring the use of wrists, hands and/or fingers. Must have the ability to view a computer screen for long periods and the ability to sit for extended periods. Must have the ability to work the hours and days required to complete the essential functions of the position, as scheduled. The employee occasionally lifts up to 20 lbs. and occasionally kneels and bends. Must have the ability to travel occasionally. Working condition include normal office setting.

Must be able to pay close attention to detail and be able to work as a member of a team to ensure excellent customer service.
