Assistant General Counsel

Position Overview
The Assistant General Counsel will report to the General Counsel/VP of Contracts. The Assistant General Counsel will serve as a key legal advisor on corporate strategic and tactical initiatives. Responsible for ensuring contracts and proposals are administered in compliance with legal and contractual requirements, while supporting achievement of corporate goals. This position provides management with effective legal and contract advice on company strategies and assists with overseeing the work of outside counsel. The Assistant General Counsel will be directly involved in reviewing, drafting, negotiating, and maintaining critical Corporate and Government contracts and agreements.
Responsibilities**

• Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters.
• Work on a wide range of complex issues at the prime and subcontract levels, provide risk reviews and insights to the General Counsel and leadership team, and assist with a variety of government contracts, compliance, and senior leadership initiatives.
• Support the General Counsel and executive leadership team in a variety of matters, including disputes, bid protests, contract/ subcontract negotiations, and M&A due diligence.
• Assist the General Counsel in ensuring compliance with applicable Federal and State laws and regulations.
• Provide guidance related to the FAR/DFAR/VAAR and other Government regulations.
• Assess the merits of legal issues against or on behalf of the company, work with the General Counsel and appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted. Research case law and use of online law review services.
• Assist the contracts/pricing team in formation, negotiations, and administration of Government Prime and Subcontracts.
• Assist in the management, review, drafting and provide advice on Corporate Agreements, Teaming Agreements, NDAs and OEM Supply and Distribution agreements.
• Assist in the selection, retention, management, and evaluation of all outside counsel when required.
• Must adhere to all company, policies, and procedures. Including safety and HIPAA practices.
