Job Description:
The In-House Attorney will be responsible for managing the company's legal affairs, with a particular focus on contract creation, review, and negotiation. The role requires a proactive individual who can provide legal advice and guidance on a wide range of issues pertinent to a technology company. The ideal candidate will be a strategic thinker with strong analytical skills and a thorough understanding of corporate and technology law. Additionally, the In-House Attorney will mentor and oversee the work of a junior on-staff attorney.
Key Responsibilities:
Contract Management:
- Draft, review, and negotiate a wide range of commercial agreements, including software licenses, service agreements, partnership agreements, and vendor contracts.
- Ensure that contracts are compliant with applicable laws and regulations and align with company policies and business objectives.
- Manage contract renewals, amendments, and terminations, providing strategic advice on risk management.
Corporate Governance:
- Advise on corporate governance matters, including board resolutions, shareholder agreements, and corporate policies.
- Assist in the preparation and maintenance of corporate records and filings.
Compliance and Regulatory Affairs:
- Monitor and ensure compliance with applicable laws and regulations, including data privacy, cybersecurity, intellectual property, and employment laws.
- Develop and implement compliance programs and training for employees.
Intellectual Property:
- Provide legal advice on intellectual property matters, including trademarks, copyrights, patents, and trade secrets.
- Manage and protect the company's intellectual property portfolio.
Litigation and Dispute Resolution:
- Oversee and manage litigation matters, including coordinating with outside counsel when necessary.
- Provide strategic advice on dispute resolution and settlement negotiations.
Risk Management:
- Identify potential legal risks and develop strategies to mitigate them.
- Advise on legal aspects of business transactions, mergers and acquisitions, and strategic partnerships.
Mentorship and Development:
- Mentor and provide guidance to a junior on-staff attorney.
- Oversee and review the junior attorney's work, providing constructive feedback and support.
- Foster the professional growth and development of the junior attorney within the legal team.
- Other Legal Matters:
- Provide legal support for various corporate initiatives and projects as needed.
- Stay updated on relevant legal developments and provide training and guidance to internal stakeholders.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in Florida.
- 5 years of experience as a corporate attorney, preferably in-house or with a focus on technology law.
- Strong experience in contract law, corporate governance, intellectual property, and compliance.
- Excellent analytical, negotiation, and communication skills.
- Ability to work independently and as part of a team in a fast-paced environment.
- Experience mentoring or supervising junior legal professionals.
- Strong business acumen and ability to provide practical legal solutions.

Salary : $175,000 - $225,000
