Gramercy is seeking an experienced private funds attorney (approximately 3-6 years) to cover a wide spectrum of responsibilities, including fund formation, regulatory compliance support and assisting with all legal aspects of the investor-facing side of the business, among other things. In this role, you will report to and work with the Chief Legal Officer and will interface with other members of the Gramercy Legal team (currently three members), as well as key members of both the investment and business groups within the firm. This position will be based in Gramercy's Greenwich office. Gramercy employees currently work on a hybrid schedule.

- Reports to Chief Legal Officer
- Manage legal aspects of Gramercy's client on-onboarding process:
- Manage the structuring, creation and launch of new investment funds and products and supervise all related documentation including offering documents, limited partnership agreements, side letters, etc.;
- Provide legal advice relating to the offering and operation of investment funds and managed accounts including with respect to applicable domestic and international securities laws and regulations;
- Negotiate and prepare investment advisory agreements, sub-advisory agreements, placement agent and third-party marketing agreements, etc.; and
- Review and assist in the preparation of marketing materials and responses to requests-for- proposals.
- Provide support for certain legal aspects of Gramercy's portfolio investments:
- Assist the investment team and members of the Gramercy Legal team with respect to portfolio transactions, including direct lending, and special situations investments;
- Work with internal and external stakeholders to optimize investment structures, and manage the formation and maintenance of necessary investment vehicles.
- Support business platform and operations:
- Assist the company with strategic initiatives including new business lines;
- Assist with third party vendor and confidentiality agreements.
- Together with the CLO and CCO, provide advice with respect to regulatory and compliance developments, including liaising with US and non-US outside counsel to provide solutions to challenges associated with running a global investment management business.
- At least 3-6 years' experience in the private funds or investment management practice of an AmLaw 100 law firm or in-house at a large asset management company.
- Ability to identify legal and business issues and communicate decision points to management effectively and clearly.
- Strong writing skills, including an outstanding ability to draft agreements and legal memoranda.
- Outstanding organizational skills, including prioritization and follow-up; ability to manage outside counsel and internal stakeholders on complex matters.
- A proven ability to multi-task and work both independently and as a team player in a fast-paced environment.
