Who we want . . . (Requirements)
- Juris Doctorate from an ABA accredited law school required.
- Active law license required (Kentucky state bar licensure is a plus).
- Minimum of seven years of experience as a licensed and practicing attorney, either at a law firm or in-house.
- Construction law experience, including both contract review/negotiation and construction litigation experience.
- Must possess a strong initiative, and excellent management, communication, teamwork, delegation, and collaborative problem-solving skills.
- Excellent verbal and written communication skills, including the ability to communicate complex legal concepts to non-attorney team members in a concise and effective manner.
- Strong interpersonal and diplomatic skills, with a proven ability to handle multiple projects, prioritize, and meet deadlines.
- Thoughtful attention to detail and quality of work product, with the ability to work independently and determine creative solutions.
- Versatility, flexibility, and willingness to work within constantly changing priorities with enthusiasm.

Qualifications
What we expect . . . (Essential Functions)
- Serve as primary legal leader and point of contact for one or more companies or business units within the Gray Corporation.
- Provide legal counsel and guidance to Corporation and its family of companies at all levels concerning various transactions, legal rights and obligations, and issues of construction, business, and industry related matters.
- Assist in interpreting laws, rulings, and regulations for relevance for the Corporation and its family of companies.
- Research and prepare appropriate and effective legal opinions, memos, and other documents.
- Independently analyze, review, negotiate and draft construction related contracts (including but not limited to, customer construction contracts, subcontracts, consultant agreements, design agreements, purchase orders, and other miscellaneous agreements).
- Provide independent contract support for standard corporate agreements (including but not limited to, non-disclosure agreements, marketing contracts, recruiting agreements, consultant agreements, and software agreements).
- Assist in defining and development of policies, procedures and programs to address legal and risk issues for the Corporation and its family of companies.
- Draft and/or oversee the development and use of legal documents.
- Identify emerging project risks and proactively work with other Risk Management team members, project managers, and business unit leaders to mitigate exposure.
- Assist the Risk Management Group with the legal needs of the Corporation and its family of companies by providing both pre‐litigation and litigation support, including interacting with outside counsel.
- Develop and oversees strategy and resolution of disputes/claims involving the Corporation and its family of companies
- Assist in representing the Corporation and its family of companies in judicial and other alternative dispute resolution forums, including regulatory and/or government agencies through the development of affirmative claims and defense of claims against the Corporation and its family of companies.
- Manage and provide internal support to outside counsel with respect to investigating facts or responding to complaints, arbitration demands, discovery requests, subpoenas, etc. relating to litigation, mediation, or arbitration.
- Provide support for the Chief Legal Officer and General Counsel, as needed.
- Provide legal support as needed, to the Director, Corporate Risk relating to insurance and risk management issues.
- Provide training within the organization on a variety of legal, business, and risk management topics, to project teams.
- Provide legal support relating to corporate formation, corporate formalities, registration, licensing, compliance issues, and document retention policy.
- Assist with contractor, professional and other licensing for Corporation
- Work with other members of the Risk Management Group or the Gray leadership team on special projects and initiatives.
- Other duties may be assigned.
