A well-known public company has engaged Harris Legal Search to recruit a Corporate Counsel to join a collegial and fast-moving team.
As Corporate Counsel, you will work on corporate governance, SEC reporting, proxy statements and annual meetings, shareholder proposals, and other securities and corporate issues. You will work actively with internal clients in Accounting, Finance, and Tax, as well as senior executive team members. You will work directly with and advise executives on complex matters.
The ideal candidate will have experience in SEC reporting, corporate governance (including Board and Committee support and Delaware corporate law), proxy statements and annual meetings, and Section 16 reporting.
QUALIFICATIONS
- Juris Doctor (J.D.) and membership in one state bar or equivalent.
- 5 years of legal experience.
- 7 years of legal experience as a corporate attorney.
- 3 years of experience at a law firm.
- Experience with accounting concepts and financial statements.
- Experience managing a large number and variety of mission-critical projects.
- Experience working independently and navigating ambiguous environments.
- Ability to work extended hours when necessary.
- Exceptional written and verbal communication skills.
- Experience working with paralegals, assistants, and business clients cooperatively and efficiently.
- Highest standards of ethics and professional integrity.
COMPENSATION
Total compensation for this position (including base salary, bonus, and equity) ranges from $310,000 – $345,000/year.
