What are the responsibilities and job description for the Counsel position at HSB?
Responsible for providing legal advice and support on a wide range of matters and contracts for the Company’s subsidiary HSB Solomon Associates LLC’s global operations, products and services, and ensuring the development and consistent application of agreed risk tolerances/practices throughout the organization. Drafts, reviews, and negotiates contracts, agreements, non-disclosure agreements, purchase orders, and service orders ranging from basic to complex for company services and business transactions; provides legal counsel and crafts viable solutions as needed on various corporate matters, including business transactions, intellectual property issues, data protection and strategic initiatives. Partners with business units to achieve corporate goals while protecting the Company’s interests and mitigating legal risks. Reviews, drafts, and negotiates numerous complex contracts simultaneously, collaborating with colleagues in the US, EMEA, Asia/Pacific, and Latin America to ensure that all transactions are legally sound and comply with all applicable laws, rules, regulations, company policies, and practices. Advises internal clients concerning legal and business matters. Supports the Legal Department with ongoing initiatives, including process improvement, intellectual property protection, and training initiatives.
Education:
- JD degree is Required
- 3 year in law firm or corporate Legal Department, with significant transactional and/or intellectual property experience
- Admission to the CT Bar or qualified as Connecticut Authorized House Counsel
- Must be able to strike a reasonable balance between processing transactions of all kinds and managing risk to the company, to keep business transactions flowing quickly and smoothly throughout the company
Required:
- Proven ability to draft, negotiate, and review complex agreements
- Proficiency in Microsoft Word, Excel, and PowerPoint
- Experience in the following areas:
- Software as a service
- Data licensing
- Data protection
- Legal compliance related to global transaction of service business
- Technical background and experience working in the global energy industry and/or services industry serving the energy industry a plus
Required:
- Proven ability to draft, negotiate, and review complex agreements
- Demonstrated ability to analyze complex legal issues, develop creative solutions, and provide sound, practical, and reasoned legal advice to business clients
- Experience counseling clients with respect to privacy rules and regulations and other requirements relating to the protection of confidential and proprietary information
- Excellent verbal/written communication skills and efficient work habits
- Must be able to work under deadlines in a demanding, fast-paced environment
- Ability to work autonomously

Salary : $100,000 - $127,000
