J & J Staffing Resources is hiring for a General Counsel for our client located in Moorestown, NJ. *Office/position may relocate to Central New Jersey in near future*

SALARY RANGE: $150,000 - $165,000/year with up to a 40% annual bonus
ESSENTIAL DUTIES AND RESPONSIBILITIES:
- Litigation: Supervise and manage the Company’s litigation matters through all stages of litigation. Coordinate with the other departments on timely and accurate responses to litigation-related requests and court orders. Develop and recommend litigation strategies, including settlement, to the CEO. Review documents prepared by outside counsel and coordinate their completion and execution. Guide execution of litigation strategies with the goal of minimizing the organization’s overall expenditures on the matter, including controlling appropriate staffing, efficient litigation strategies, cost control mechanisms, and accurate billing by outside counsel. Represent the company in court in NY, NJ, PA.
- Support of Commercial and Maintenance and Development Departments: Advise and support the company’s commercial, maintenance and development functions with respect to legal and compliance risks, prepare and review contracts, form documents, and significant correspondence. Coordinate activities related to environmental compliance, interact with customers and supplier counsel as necessary.
- Corporate: Prepare and execute corporate transactions and restructurings. Maintain corporate books. Coordinate receipt of approval from Group headquarters for transactions as required by Group policies. Review and provide input and drafts of Company Policies.
- Real Estate: Provide legal support to the Company’s Real Estate function with respect to acquisitions, dispositions, and maintenance of company real estate interests. Draft and review leases, contracts, forms and significant correspondence for the real estate department. Obtain approvals from Group headquarters for transactions as required by Group policies and the company’s organizational documents.
- Human Resources: Provide legal support to the company’s human resources function. Review and provide input on drafts of company employee policies.
- Finance: Assist in drafting and negotiating company’s financial arrangements, including credit facilities, guaranties, mortgages, security instruments, and other financial services. Obtain approvals from Group headquarters for transactions as required by Group policies and the company’s organizational documents. Cooperate with the company’s auditors.
- Intellectual Property: Coordinate the organization’s activities with the purpose of protecting intellectual property interests, including maintaining legally protected status, controlling licensing, and preventing and stopping infringement. Draft trademark license agreements, confidentiality agreements and cease and desist letters. Monitor areas of operation for infringement of the Group’s and company’s trademarks and other intellectual property and coordinate protection activities with Group headquarters as required.
- Administrative: In coordination with the information technology department, maintain the departments information management system. Suggest and develop further and broader application of technology to increase the department’s and the company’s efficiency in workflow, recordkeeping and compliance. Coordinate technical cooperation with group headquarters.
- Other: Other tasks that require possessed qualifications and skills as directed by the CEO.
SUPERVISORY RESPONSIBILITIES : This position has direct supervisory responsibilities of two employees.

EDUCATION and/or EXPERIENCE : Must be a graduate of an accredited law school and admitted to the state bar of New York and New Jersey and Philadelphia.
