Position Summary
Directs, oversees, and controls legal activities and functions to ensure the organization's legal posture is developed and maintained. Establishes legal services required by the organization and ensures that the organization is protected from any legal action. Provides officers and directors with advice and guidance in identifying the critical problems to which the application of legal principles yields the greatest opportunities for minimizing risks and maximizing profits. Overseeing the legal matters of the business as a whole, including acting as the business’ legal representative.
Essential Tasks
- Lead a small but highly efficient legal team supporting the company’s business units and related entities
- Draft and negotiate various complex technology agreements, including licensing, SaaS, XaaS, development, reseller, and other technology-related agreements
- Oversee the company’s customer contract function averaging 1,200 contracts per year
- Manage and resolve complex litigation matters, using internal resources to reduce outside legal costs
- Oversee the company’s compliance efforts by providing legal advice, leading a cross-departmental compliance team, and developing and implementing procedures and policies relating to data management, protection, privacy, document retention, and certain other regulatory matters
- Counsel board of directors and senior management concerning various matters, including corporate governance, employment, strategic partnerships, and general corporate matters, and act as corporate secretary
- Crafting and reviewing legal strategy in response to any litigation
- Keeping a record of all legal documents and proceedings for the company
- Manage the company’s international and domestic intellectual property portfolio
- Negotiate and handle mergers and acquisitions and debt financing deals
- Respond to various complex regulatory issues relating to employees and customers including, without limitation, HIPAA, FERPA, ERISA, individual state data laws, and other laws and regulations
Preferred Skills and Experience
- Juris Doctorate from an accredited law school
- Excellent interpersonal, oral, and written communication skills
- Advanced analytical and practical problem-solving skills
- Demonstrated project management skills; deadline oriented
- Ability to multi-task while maintaining great attention to detail
- Ability to work independently and think strategically
- Self-motivated team player with the ability to work well under pressure and adapt in a changing environment
The pay range for this position is $235,000-$270,000/year; however, base pay offered may vary depending on job-related knowledge, geographic location, skills, and experience. This position is eligible for an annual bonus in addition to a full range of benefits. This information is provided per the relevant state and local pay transparency laws for the location in which this position will be performed.
