Corporate/M&A Attorney

About the Role

We are seeking a highly skilled Corporate/M&A Attorney to join our team at Jobot. As a key member of our legal department, you will be responsible for providing expert advice on a wide range of corporate matters, including mergers and acquisitions, corporate governance, and compliance.

Key Responsibilities

• Provide legal advice on corporate matters, including mergers and acquisitions, corporate governance, and compliance.
• Draft, review, and negotiate complex legal documents, such as disclosure schedules, asset purchase agreements, operating agreements, and stock purchase agreements.
• Conduct due diligence investigations and prepare due diligence reports.
• Advise clients on the legal aspects of business strategies and decisions.
• Develop and maintain strong relationships with clients.
• Stay updated on developments in corporate law and contribute to the company's knowledge management.
• Collaborate with other departments to ensure that the company's legal strategies align with its business objectives.

Requirements

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the NY state bar.
• A minimum of 5 years of experience in corporate law, with a focus on mergers and acquisitions.
• Proven experience in drafting and negotiating disclosure schedules, asset purchase agreements, operating agreements, and stock purchase agreements.
• Excellent legal research and writing skills.
• Strong negotiation skills and the ability to resolve complex legal issues.
• Ability to work independently and as part of a team.
• Excellent communication skills, both written and verbal.
