The Spirit of the Position:
The General Counsel reports through to the Chief Operating Officer and is responsible for mitigating legal risk across the company in areas such as contract compliance, litigation oversight/prevention, employee/labor relations, and merger and acquisition activity. S/he serves as the primary legal contact for external counsel and s/he manages these relationships. As an integral part of the company’s leadership team, the General Counsel provides advice on a wide variety of legal-related matters, including potential litigation; labor cases; insurance cases; acquisitions; and vendor and client contracts. S/he also establishes the company’s financial reserves on outstanding matters, as well as establishes processes, best practices and SOPs for the Legal Department.
Principal Job Duties:
- Drafts, reviews and negotiates a variety of complex documents and contracts with employees, vendors and other business partners.
- Manage relationships with outside counsel and oversee billable hours spent by attorneys hired to represent the company.
- Provide guidance/advice in situations that arise as needed related to labor, insurance, permit, contract or any other legal-related matter.
- Participate in legal due diligence for potential acquisitions and assist in contract drafting and document preparation for closing(s) as appropriate.
- Estimates and sets financial reserves for pending litigation and manages budget for legal department.
- Establishes templates and/or other processes, standards and best practices for the Contract formation, review and maintenance.
- Develops and implements an annual strategic plan for the Legal Department aligned to the company’s overall business initiatives.
- Liaises to insurance brokers and carriers on cases related to worker’s compensation, garage keeper’s liability, employer practices liability, cyber insurance, umbrella coverage and/or any other insurance-related matters.
- Represents the company if/as needed in courts (in CT or other states).
- Creates and maintains ongoing reports for the Executive Committee about open/pending litigation.
- Lead/manages other members of the Legal Department and partners with Chief Operating Officer on the strategic plan for the Department as the company grows.
- Write and deliver memos (or other reports) that describe exposure on pending litigation or other legal matters.
- Reviews and analyzes legal and regulatory developments and trends and determine potential impact and applicability as necessary.
- Collaborates with Human Resources to develop, provide and oversee training to staff regarding legal topics.
- Other duties as needed.
Requirements:
Travel
- Up to 10%, based on business needs.
Education
- Juris Doctor Degree required.
- Member of CT Bar Association required.
Experience
- At least 10-15 years of corporate law practice.
- Experience leading M&A full-cycle activity
- Litigation oversight and contract review/drafting.
- Contract negotiations.
- Experience with HR compliance across multi-states.
- Intellectual property issue oversight.
