What are the responsibilities and job description for the Staff Attorney position at LDF Business Development Corporation?
Summary/Objective: The primary responsibility of this position is to provide advice and legal representation to the various departments of the LDF Business Corporation (BDC) on a broad range of legal matters. This would include but not be limited to; providing verbal and written advice on employment matters, trade matters, applicable state, and federal laws while considering good business practices, the inherent sovereignty of the Tribe, and the ability to foster economic growth.
Essential Functions: Specific duties include, but are not limited, to the following:
· Collaborate with the appropriate senior management regarding any litigation that the LDF BDC may find itself in. This collaboration would allow for informed consent as well as for strategic thinking and being able to come up with creative solutions as they are needed.
· Review and approve a wide variety of contracts, providing direction to the appropriate internal stakeholders and negotiating to obtain favorable terms.
· Act at the directives of the LDF BDC.
· Lead the LDF BDC in negotiations regarding acquisitions, new business ventures, and transactional matters.
· Manage contract renewals and the negotiation of appropriate terms, as determined by the CEO and the Board.
· Standardize internal legal documents in plain English format, including reformatting existing documents and drafting documents from scratch where necessary.
· Maintain a working knowledge of employment policies, laws, and practices; including hiring, discipline, termination, pay, and benefits.
· Work cooperatively and collaboratively with the leadership team, management, staff, vendors, service providers, other tribal businesses, and governing bodies.
· Draft and revise LDF BDC ordinances, regulations, resolutions, procedures, plans, and policies.
· Review and advise on all matters regarding Tribal Sovereignty within the business context and operation of the LDF BDC.
· Operate as a point of contact between the LDF BDC and any outside counsel retained by the corporation.
· Prepare, deliver, and report on updates to the CEO and the Board, as needed.
· Update the Board, at a minimum, on a quarterly basis on the status of all legal issues affecting the corporation.

Work Environment: This job operates in a professional office environment. This role routinely uses standard office
equipment such as computers, phones, photocopiers, and filing cabinets.
Physical Demands: The physical demands described here are representative of those that must be met by an employee
to successfully perform the essential functions of this job. While performing the duties of this job, the employee is
regularly required to talk and hear. This is a largely sedentary role; however, standing, sitting, walking, bending, and
being able to lift 35 pounds safely is required.
Position Type/Expected Hours of Work:
· This is a Full-Time, Exempt, position with a minimum of [40] hours per week expected.
· Days of work are primarily Monday through Friday and typically between 8 a.m. and 5 p.m. but may vary upon agreement between the CEO and Board.
· Occasional on-call consultation by management during non-scheduled hours are expected.
· Must be available to attend all mandatory meetings and participate in training, as directed by executive management.
Travel: Occasional travel is required for this position.
Required Education and Experience:
· Law Degree from an ABA-accredited law school.
· More than ten (10) years practicing law, with at least 4 yrs. experience in public service law, poverty litigation, indigent defense, or Indian Law preferred.
· A degree in business is not required but is preferred. An applicant may substitute education for experience in business and in human resources.
· Must be admitted to practice in the state and federal courts of Wisconsin or be admitted within one year.
Preferred Education and Experience
· 5 yrs. Administrative Supervisory Experience
· 5 yrs. practicing in Tribal Court
· Demonstrated experience drafting and implementing policies and directives.
· As noted above, applicants should possess a demonstrated proficiency in legal research and exceptional writing skills.
Other Requirements: The Staff Attorney agrees to immediately disclose in writing to the LDF BDC Board of Directors and CEO the following matters, whether occurring at any time prior to or during the term of employment.
· Any denial, suspension, or revocation of any professional license.
· Any investigation or proceeding based on any allegation of a violation of professional ethics or standards, or engagement of activities illegal, immoral, or other misconduct (of any nature or degree), relating to the practice of law or provision of legal services.
· Any private or public reprimand by any ethics or professional responsibility board or similar entity.
· Any criminal complaint, indictment, or criminal proceeding in which the Staff Attorney is named as a defendant.
