Overview:
LivePerson is looking for an Deputy General Counsel who will play a key role in supporting LivePerson’s growth as we continue to scale and streamline operations. The ideal candidate will be a generalist in the areas of complex SaaS commercial transactions and partnerships, corporate governance, privacy, product counseling, and employment law. This role will report directly to the General Counsel and be a key partner to the business and executive teams. The Deputy General Counsel will assist in overseeing a wide variety of legal activities at a dynamic public company.
You will:
- Complex Commercial Revenue Transactions with Customers and Partnerships: As a senior member of the legal team, you will be responsible for partnering closely with our global sales leadership teams to achieve the company's revenue goals as well as partnering with other leaders and business stakeholders across the company. Draft and review complex SaaS commercial transactions with our direct customers, reseller and distribution partners, and technology partners. Lead and manage negotiations with these customers and partners and coordinate with internal stakeholders to ensure conformance with LivePerson standards. Provide advice and assistance to senior sales leaders to support key commercial, business, product and strategic initiatives and advise deal teams on legal, structural, product and other key issues that arise in these transactions. Support regional expansion and new market entry, as applicable.
- Provide guidance and advice to support new initiatives, including product innovation, engineering, data analytics, AI, and partner with key stakeholders to create collateral and support go to market initiatives for these strategies. Proactively provide advice and guidance about security practices, laws and regulations applicable to our business and product development, such as GDPR, E-Privacy, CCPA and TCPA. Monitor and address relevant industry regulations and industry trends of importance to the company and its clients.
- Corporate: Manage, and support general corporate governance matters, including preparation of the company’s quarterly and annual reports and preparing materials in anticipation of quarterly and annual board meetings. Oversee all budget, process, and operating aspects of LivePerson’s outside counsel relationships, working closely with Legal leadership and Finance partners.
- Process Optimization & Efficiency: Help develop and support continuous improvement of Legal Department operations to streamline, simplify, and automate relevant contracting processes. Optimize operational efficiencies through identifying productivity opportunities and implementing programs, processes, and tools/technology to improve departmental workflow and processes, and update contracting templates and forms.
- Lead and mentor our global legal team.
You have:
- 12-15 years experience with complex enterprise Sales transactions related to SaaS or software products and services.
- Strong operational process management and business acumen
- Strong transactional drafting, communication, and negotiation skills.
- Channels / Partners expertise in contracting related to SaaS and various industry verticals;
- Experience managing external law firms and in-house teams
- Self-starter with an aptitude for learning and creative problem solving.
- Ability to balance multiple priorities in a fast paced environment.
- Experience in providing legal advice to senior management levels.
- Relevant industry experience in house or at a recognized law firm.
- Law Degree with excellent academic credentials. License and certification to practice law in good standing.
