What are the responsibilities and job description for the Segment Counsel position at Mativ?
The Segment Counsel role will be the primary legal support for various business-related activities for the SAS Segment, including commercial transactions, product marketing, international trade, regulatory compliance, data privacy, environmental, health and safety (EHS), litigation, and other matters. The Segment Counsel will work with other internal specialized attorneys on areas such as intellectual property, labor and employment, and general corporate.
The Segment Counsel position will be located in Alpharetta, Georgia and report to our Deputy General Counsel & Assistant Secretary.
responsibilities:
- Act as a strategic legal partner to the SAS Segment and its Group President by providing legal advice and counsel for a wide range of business activities.
- Manage legal issues, regulatory investigations, and litigation (with support from outside legal counsel) for global operations of SAS Segment.
- Prepare, review, edit, negotiate, and manage a variety of commercial agreements.
- Assist in developing and maintaining contract management systems and support continuous improvement projects for contract templates, review processes and policies.
- Collaborate with and train internal teams on negotiating commercial terms, developing term sheets and leveraging contract management systems to streamline contracting process.
- Assess compliance and counsel functional leaders on applicable regulatory requirements relating to product, marketing, labeling, international trade, and import/export.
- Develop and implement policies, processes and procedures to support compliance with local and international sustainability laws and regulations (Corporate Sustainability Reporting Directive, EU Deforestation-free Regulation, EU Due Diligence Directive, etc.).
- Manage outside counsel, including reviewing and managing work performance and spend.
- Support global data privacy programs and assist with the management of and response to cybersecurity matters and related compliance issues.
- Support internal investigations for employment matters and liaise with works council as requested.
- Support M&A transactions as requested.
qualifications:
Required
- Law degree from an accredited university or college
- Admitted to practice law (and in good standing) in at least one U.S. jurisdiction
- A minimum of 8 years of professional legal experience advising multi-national organizations
- Travel percentage: 10-15% (including international)
Preferred
- Prior in-house experience with multi-national organization strongly preferred
- Experience with contract management systems and legal operations software preferred
- Meaningful experience advising clients in the manufacturing industry preferred
