About the Role

Reporting to the Director, Compensation, the Equity & Compensation Program Manager administers the Company’s equity compensation program and supports all aspects of the Company’s other compensation programs, including executive compensation. These responsibilities include assessing, designing, implementing and administering plans/programs, procedures and processes related to the Company’s cash, equity, and executive retirement/supplemental offerings.

This position is eligible for a hyrbid work schedule with some days per week being spent in the Oakland Corporate office and some days spent working remotely. 

What you’ll do:

  • Administer the Company’s equity administration program using the Fidelity system.
    • Manage the equity grant process, including entering data in the equity system, generating participant reports and disseminating activity reports.
    • Perform the vesting process for time based restricted stock units and/or performance shares as vestings occur throughout the year.
    • Run periodic equity activity reports for the tax, legal and finance/accounting groups.
    • Process quarterly phantom dividend payouts for holders of time-based restricted stock units.
    • Coordinate with legal on all Form 3/4 filing requirements.
  • Collaborate with the Director, Compensation, to support all aspects of broad-based compensation, including job grading, salary structure maintenance, compensation survey participation, the annual merit process, and pay equity reviews.
  • Support the annual Compensation Discussion and Analysis development process, which includes partnering with payroll, legal and finance/accounting to gather all required information, coordinating with the external compensation consultant to update CD&A language, as needed, ensuring the termination scenarios are accurately calculated, and circulating/maintaining draft materials for leadership review.
  • Assist with developing Compensation Committee materials in a timely and accurate manner.
  • Support preparation of meeting materials and ensure accuracy of all documents.
  • Support external compensation consultant projects as designated by the Committee.
  • Create Committee binders and upload materials for review.
  • Perform annual analyses needed for Committee review, such as ownership guideline standings, equity usage and plan prevalence updates.
  • Support the annual pay risk assessment, coordinating with legal, finance/accounting and HR management.
  • Perform ad hoc projects, as directed by leadership and/or the Committee.
  • Serve as an internal advisor on the tax and accounting impact of all compensation programs.
  • Analyze total compensation arrangements (cash, variable and equity) relative to competitive market practices and the Company’s desired pay positioning.
  • Review cash incentive and equity program guidelines as compared to competitive levels, and make recommendations, as necessary.
  • Collaborate with the Director, Compensation to manage the deferred compensation program for outside directors and employee participants.
  • Conduct incentive plan and/or equity program training.
  • Manage and/or support other HR projects or initiatives, as needed.

And these qualifications:

  • Bachelor’s degree in business, human resources, or a related field.
  • Equity Compensation Associate (ECA) credential required.
  • Must have at least four years’ experience managing and administering compensation programs (e.g., market pricing, job family/title development, merit, cash incentive/equity award guidelines, and incentive plan design and modeling).
  • Must have at least three years’ experience administering equity compensation plans (stock options, restricted stock and/or performance awards).
  • Experience preparing materials for the Compensation Committee of the Board of Directors of a publicly-traded company is a plus.
  • Experience with the preparation of the annual proxy statement is a plus.
  • Demonstrated knowledge and application of tax and accounting treatment of the elements of executive and equity compensation.

Extra credit if you have:

  • Certified Equity Professional (CEP) certification.
  • Experience with the preparation of the annual proxy statement.

The annual salary range for this position in California is $111,300 - $161,500. The salary offered will depend upon qualifications and other operational considerations.
