Performs a variety of corporate duties to support creation, processing, management, and termination of contracts, to include physician contracts and vendor contracts for MedStar Health, Inc. Maintains a standardized and centralized system of contract administration, contract compliance and contract database management. Directs the contract negotiations and management functions in a confidential nature to support the General Counsel, Executive Deputy General Counsel, and Legal Department in a manner that is compliant with all state, federal, and industry guidelines.
Education
- Bachelor's degree from an accredited college or university, Required or
- equivalent combination of education and experience in contract reviews and management. Required and
- Professional degrees including JD or MBA Preferred
- 5-7 years Job related experience, including contract drafting and negotiation, contracts administration, and contract management. and
- Specific experience in physician contracts, the health care industry, real estate matters, information technology, and supply chain management Preferred
- Excellent attention to detail and organizational skills required.
- Independent judgment and problem solving ability required.
- Proficient in Microsoft Word, Excel, and Outlook.
- Excellent professional skills and advanced knowledge of corporate and/or health care legal work.
- Strong project management, computer, drafting, proofreading, research and organizational skills.
- Ability to work professionally and independently on assigned tasks and to complete assignments in a timely manner with great attention to detail.
- Strong writing, verbal communication and customer service skills.

- Coordinates contracting activities for MedStar physician organization including meeting with relevant stakeholders, planning for business transactions, due diligence, and physician acquisitions and integrations as well as onboarding of new hires, and documentation of transfers, promotions and other changes in physician relationships.
- Drafts and documents accurate physician arrangements in compliance with institutional policies, Medicare fraud and abuse statutes, Stark Law, IRS and INS requirements, and state and local laws.
- Prepares, revises, distributes, and conducts training for business units regarding contracting processes and roles and responsibilities.
- Develops and contributes to the achievement of established department goals and objectives and adheres to department policies, procedures, quality standards and safety standards. Ensures compliance with hospital/facility policies and procedures and governmental/accreditation.
- Maintains and assures confidentiality of all contract and compensation information for physicians. Assures all terminated agreements are archived and retained.
- Prepares, reviews, negotiates and revises business contracts and other agreements (i.e., purchase agreements, supply chain agreements, service agreements, license and information technology agreements, confidentiality agreements, non-disclosure agreements, business associate agreements, affiliation agreements, patient transfer agreements, data security exhibits and management and service agreements, etc. ) to manage legal, compliance and management risks.
- Updates and maintains accurate and complete contract tracking databases: one containing all physician arrangements across MedStar Health and one containing all commercial contracts across MedStar Health.
- Creates and maintains contract templates, standard terms and conditions, best practices, and policies and procedures related to physician and commercial contract administration.
- Engages with key stakeholder departments including risk management, compliance and privacy, human resources, information technology, finance, real estate, supply chain and MedStar entity operations personnel and other departments to solve complex problems to meet business goals in a legally compliant way.
- Creates and maintains written standard operating procedures for all job-related processes.
- Independently manages and prioritizes workload while adhering to deadlines.
- Leads projects from initial implementation through closure while being a self-motivated and organized member of the Legal Department.
- Identifies and coordinates responses to internal and external requests for contract and other business information.
- Oversees and leads projects from initial implementation through closure while being a self-motivated, organized, essential member of the Legal Department team.
- Participates in multidisciplinary quality and service improvement teams as appropriate. Participates in meetings, serves on committees and represents the department and hospital/facility in community outreach efforts as appropriate.
