What are the responsibilities and job description for the Corporate Paralegal position at N-able?
N-able is seeking a Corporate Paralegal to join the Company’s headquarters based in Burlington, MA. This role will be reporting to the Sr. Corporate and Securities Counsel, you will assist in all areas related to the company’s global corporate matters, securities laws matters and related compliance, including Securities Act and Exchange Act matters.
Responsibilities
Specific duties will include the following:
- Manage the corporate administration and ongoing compliance for 20 legal entities in the U.S., Canada, EMEA and APAC regions, including:
- Maintain global corporate compliance calendar;
- Assist in preparing materials for board and board committee meetings;
- Draft corporate resolutions; and
- Maintain corporate minute books.
- Manage internal governance processes
- Assist in maintaining global insurance programs
- Manage outside counsel and service provider engagements
- Perform corporate due diligence in acquisitions
- Prepare Section 16 filings and assist in preparing proxy statement
- Conduct routine NYSE listing compliance
- Conduct research and resolve routine legal questions
- Attend to corporate secretary requests
- Assist with stock plan administration matters
- Project manage strategic legal projects with other legal professionals and internal stakeholders, particularly in relation to entity rationalization and acquisitions
- Other tasks and duties as assigned
Qualifications
- 3 years of relevant corporate paralegal experience, including at least 2 years at a public company or a law firm supporting public company clients; in-house experience is a plus.
- Superb organizational skills and attention to detail
- Excellent interpersonal, written (grammar, spelling, formatting) and verbal communication skills
- Strong ability to multi-task and manage multiple deadlines in a fast-paced and dynamic environment
- Self-starter with the ability to work independently
- Results-oriented, resourceful, problem-solver
- Familiarity with general public company corporate governance and compliance requirements
- Proficiency in Microsoft Office Suite (Word, PowerPoint, Excel and Visio)
- Paralegal certificate preferred
- Bachelor’s degree
