What are the responsibilities and job description for the Contracts Counsel position at Northland Investment Corporation?
Position Purpose: This role is primarily responsible for reviewing, overseeing, and coordinating the implementation of Northland’s corporate, asset management, and operations contracts and corporate governance, as well as assisting with real estate acquisitions, dispositions, and financings.
Essential Functions: The following list of essential job functions is not exhaustive and may be supplemented or modified, as necessary.
- Prepares, reviews, and negotiates Northland’s corporate, asset management, and operations contracts, including service, supply, software, cable, elevator, trash, and other agreements.
- Prepares, reviews, and negotiates various corporate and real estate documents, including authority and organizational documents, acquisition and disposition documents, financing documents, easement agreements, license agreements, leases, service contracts, and management agreements and coordinates and closes transactions.
- Assists with corporate filings, investor transfers, maintenance of corporate minute books, and license compliance.
- Develops forms and implements best practices and procedures as they relate to portfolio contracts.
- Oversees outside counsel on certain portfolio agreements and real estate related matters.
- Assists with on-going real estate legal matters with respect to properties in Northland’s portfolio.
Job Requirements:
The individual must possess the following knowledge, skills, and abilities and be able to explain and demonstrate that he or she can perform the essential functions of the job, with or without reasonable accommodation, using some other combination of skills and abilities.
- A Juris Doctorate degree with 5-7 years of corporate or real estate practice is required. Must be a member of the Massachusetts Bar.
- Ability to review and synthesize information.
- Strong knowledge and understanding of and ability to adhere to tenets of real estate and contract law.
- Ability to identify and solve problems and analyze and evaluate information gathered from multiple sources.
- Must possess and demonstrate an ability to maintain a high degree of discretion and confidentiality.
- Exceptional written and verbal communication skills
- Must display excellent attention to detail and organization skills.
- The employee works effectively and relates well with employees at all levels of the organization; the employee exhibits a professional manner in dealing with others and works to maintain constructive working relationships.
- Ability to prioritize and plan work activities to meet deadlines; uses time efficiently.
