Deadline: 04/17/2023 Associate General Counsel - Global Operations, Office of the General Counsel Primary location New York (however would consider other global OSF locations) Permanent Office of the General Counsel (OGC) is a strategic legal and governance department that delivers integrated legal advice globally in an effective, efficient and risk intelligent way. OGC focuses in the short term on transactional legal advice and compliance; in the medium term on policy making and good governance; and in the long term on helping make Open Society an enduring philanthropy. OGC comprises several divisions: Strategic Philanthropy; Network Structures & Governance; Region & Program Advisory; Global Operations; Regulatory & Compliance; and OGC Operations. The role of Associate General Counsel sits within the Global Operations division. Global Operations provides support to global operations functions with specialist expertise in real estate, employment, commercial law and related matters, and acts as an advisory partner for corresponding business units. As Associate General Counsel you will: Act as a strategic partner to enable effective planning to maximize impact and realize strategy within regulatory framework and organization-wide policies/standards/processes including understanding the work of the Finance, Global Security and IT global operations functions and identifying, and anticipating where possible, legal needs. Draft, review and negotiate a wide array of complex commercial agreements, including global master services agreements, consultancies, vendor agreements, licensing agreements, software licences, subcontracts and nondisclosure agreements. Provide general counselling and management of a full spectrum of business and legal issues, which, in addition to general commercial matters includes particular focus on compliance with legal and regulatory requirements imposed by tax status / funding, international sanctions, data protection, conflicts of interests, and other legal matters. Facilitate global commercial contracting including but not limited to legal advise on policies and procedures that ensure robust legal and regulatory compliance and support global budgeting and audit. Contribute to developing and maintaining OGC know-how, templates, technology solutions and other key enablers. Advise on transactions including grants, service agreements, consultancies, commercial contracts, licences and software agreements. Engage and instruct external counsel when needed and co-ordinate advice as appropriate to ensure it is fit for the organization. Other duties as assigned. Open Society’s legal needs mean that legal work is often cross-cutting so all attorneys in the OGC must be generalists to some extent, and should expect workload sharing within and between divisions to respond to fluctuating demands. What we are looking for: Law degree or equivalent from an accredited university (law school) and admission to practice law in the Open Society global office location in which you would be based. A minimum post-qualification experience of 5 years at a law firm and/or in-house, including experience with commercial law. Experience and record of accomplishments with drafting and negotiating in matters requiring keen attention to detail with excellent follow-through. Demonstrated ability to communicate (verbal and written) legal and strategic advice with stakeholders who are not lawyers including in a virtual environment. Experience engaging and instructing external counsel when needed and co-ordinating advice as appropriate to ensure it is fit for the organization. A practical, business-oriented approach to problem-solving, tempered by an appreciation for legal complexity and risk. Demonstrated ability to apply creative thinking, strong judgment and analytical skills, combined with a record of integrity, professional discretion and the ability to work under pressure, prioritize and handle sensitive/confidential matters. Demonstrated ability to build relationships, with experience managing inter and intra organizational relationships in complex organizational environments. For our office in New York City, the salary range for this role is (145,100.00 - 275,700.00 USD Annual ) plus benefits.
