As its second in-house counsel, you will be working with our General Counsel to address a broad range of legal matters. This is a diverse role and will include drafting and negotiating a wide range of commercial technology agreements including SaaS subscription, professional services, and partner agreements. You will work closely with our Security and Compliance teams to address, plan for and implement initiatives to stay current on information security, privacy, and regulatory compliance. You will be called upon to resolve commercial disputes, support company inbound transactions, and manage our growing intellectual property portfolio. In summary, you will be a trusted legal advisor who counsels the OpenGov team through ever-evolving legal needs. Responsibilities: •Negotiate and close win/win deals. Each deal that we close is a step towards creating and cementing relationships with our state and local governments, and each agreement is a testament to our willingness to make governments more effective and accountable. As Corporate Counsel, you will be responsible for leading smart, relationship focused negotiations. And you will be empowered to find creative, efficient ways to close deals that deliver value to both OpenGov and our customers; •Demonstrate excellent writing skills. At the heart of every transaction we do is a contract that should express even the most complex ideas in clear, straight-forward prose. And each draft that we deliver is surrounded by written comments that should explain our position, persuade the reader, and drive the parties toward an efficient deal close. Develop a progressive and nuanced understanding of government procurement. You will quickly work to complement a strong understanding of commercial law with a deep understanding of how governments procure SaaS; •Be a legal generalist. You will provide legal counsel on a broad range of legal issues, such as intellectual property and privacy law and you will help business stakeholders across the company navigate legal matters. As an attorney on a team comprised of smart, humble and driven members, there will be a wealth of learning opportunities for you, as well as opportunities to celebrate milestones in your development; •Engage with our M&A team to diligence acquisition targets;. •Continuously improve standard form agreements and legal processes •Organize and manage all the Company’s legal documentation in DropBox and Google Drive; •Build strong relationships across the Company and particularly with the sales team as you work to support their deals, and •Get ready for the ride of your life. Basic Qualifications: •J.D. degree with strong academic credentials from a top, ABA-accredited law school and member in good standing of at least one state bar (preference for California); •At least 3 years of "hands on" experience drafting, negotiating, and providing guidance on a wide variety of technology transaction agreements; •Great at balancing legal compliance and risk with business priorities; adept at making and communicating difficult decisions to stakeholders; •Reliable leader who is able to provide guidance and advice to all audiences on a variety of legal issues; •An enthusiastic, hard-working, empathetic person, who enjoys collaborating with many teams (departmental as well as cross-functional) as well as corporate leadership; •Have passion for OpenGov’s mission of powering more effective and accountable government; •Team attitude that no job is too big or too small; •Desire to take on greater responsibilities as skills are developed;  •Ability to self-start and work independently; •Great judgment, attention to detail, interpersonal and communication skills, with demonstrated teaming ability to work well with, influence, and inform diverse groups, including peers and clients; •Dedicated to providing top-notch, timely, customer service and possessing strong interpersonal skills;  •Strong work ethic and the highest level of integrity and business ethics;  •Do what you say you will do; •Positive demeanor and a good sense of humor; and •Must be eligible to work in the US supporting Central or Eastern Time Zones without sponsorship from an employer now or in the future and be effective in working remotely. Preferred Qualifications: •Understanding of cloud and software industries, including SaaS model, and a strong desire to work on tough legal issues in these areas; •Experience in negotiating, drafting and advising business on technology-related integrations and licensing, including multi-jurisdictional transactions; •Experience in drafting and negotiating vendor, independent contractor, non-disclosure, partnership, license, and other transactions agreements; •Understanding of data privacy regulations, information security, and security frameworks; •Familiarity with basic revenue recognition rules; and •Working knowledge of MS Word and Excel, Slack, Gmail, Docusign and Salesforce.
