Output Services Group, Inc. (OSG) is a company that is transforming. Fueled by our recent restructuring and a management team of industry veterans that joined OSG in January 2023 to drive the restructuring, we are expanding and growing across our service offerings, verticals and most of all, in the way we think, do business, and service our customers.

OSG seeks to add a Chief Counsel to its Legal Department, reporting to OSG’s Chief Legal Officer. Based on the candidate, this role will either be in-office, located in OSG’s corporate headquarters in Carol Stream, IL, one of OSG’s other regional offices, fully remote in the U.S. (in any of the states in which OSG is qualified to do business) or hybrid home/office.

We are looking for a transactional attorney that enjoys drafting and negotiating customer and vendor contracts, has both experience and an interest in data privacy matters, and is excited about the prospect of supporting other corporate initiatives, including M&A transactions. The ideal candidate will have exceptional drafting and negotiation skills and be comfortable working independently to craft template agreements and redline and negotiate documents consistent with OSG’s business objectives and risk appetite. Prior experience in data privacy matters, including processor treatment of PII and PHI, and one or both of output solutions (e.g., print and mail) and / or digital customer communications management (CCM) is highly preferable.

Primary Job Responsibilities

  • Draft, review, revise and negotiate a wide range of commercial agreements with customers, vendors and channel partners, including services agreements, statements of work, change orders, non-disclosure agreements and other legal documents for the sale and distribution of OSG’s products and service offerings.
  • Actively work with, advise, and support the OSG internal sales, technical services, finance and other corporate service teams throughout the contract negotiation process, assuming the lead role in all the legal contract negotiations.
  • Provide legal support on privacy and data security-related matters across the OSG enterprise, including counseling on legal and regulatory aspects of data collection and processing and the review and negotiation of privacy and data security terms, including data processing agreements.
  • Monitor and ensure legal compliance with OSG’s standards and applicable regulatory requirements of supported businesses.
  • Identify and manage risks and propose solutions to mitigate risks with respect to transactions, contracts, operations, and disputes.
  • Assist with various corporate matters, including M&A transactions (e.g., due diligence, integration, etc.), corporate entity management, governance matters and special projects.
  • Help create procedures and practices within the Legal Department to promote efficient workflows.

  • Ability to build and maintain constructive working relationships, implement proactive and concise communication, act as a resource to colleagues, and engage in collaborative thinking and problem solving while demonstrating OSG’s core values.

Education, Experience And Skills Required

  • Law Degree, LL.M or equivalent.
  • At least 5 years of relevant transaction-based legal experience. Previous experience advising companies in output solutions and /or customer communications management highly desired.
  • Both law firm and in-house experience highly desired.
  • Proven track record drafting, revising and negotiating commercial contracts and project related documentation of the types referenced above.
  • Prior experience with Software as a Service (SaaS) delivery model.
  • Prior experience advising on data privacy and data security issues.
  • Strong analytic capabilities and written and oral communication skills. Attention to detail and strong drafting skills a must.
  • Strong business acumen, with ability to serve as a business advisor.
  • Exceptional interpersonal skills with proven experience in relationship building and partnering. Must work well in both team and individual settings.
  • Language requirements: Proficient in English (spoken and written).
  • Time Zone: suitable to support the Central Time zone (with some flexibility if and when dictated for after work hours contributions).
