Phreesia is looking for an Assistant General Counsel – Commercial Contracts to join our growing team! 

We are looking to add a key member to round out our small (you will be the fifth person) but mighty legal team, reporting directly to the General Counsel at a publicly traded company.  We’re looking for an experienced (8+ years), practical commercial lawyer who has strong experience structuring, drafting, reviewing and negotiating a broad range of complex commercial agreements.  You will work with cross-functional teams to develop SaaS, software and support billing models and terms and the like.  This is a sophisticated, senior individual contributor role. You should also be able to work on everything from complex commercial agreements to small vendor agreements to support our rapidly growing business. 

What You’ll Do: 

  • Structure, draft, review and negotiate a broad range of complex commercial agreementsincluding enterprise-level SaaS agreements and pharmaceutical advertising agreements. 
  • Work directly with the sales organization to draft, negotiate and close a variety of commercial agreements to support sales.  
  • Act as lead partner to sales organization and sales support. 
  • Comfortable negotiating Business Associate Agreements and working knowledge of privacy law. 
  • You will provide practical, decisive guidance to support Phreesia’s fast-paced business needs that balances our goals and legal risk, taking into account company policies and positions. 
  • Support the continuous improvement of standard form agreements and legal processes. 
  • Stay up-to-date on relevant industry, commercial, open source, IP, privacy, employment, and other laws, regulations, and developments to give the most effective advice. 
  • Obtain and maintain a solid knowledge of the products, services and objectives of our business. 
  • Other duties and projects assigned by the General Counsel. 

What You’ll Bring: 

  • Minimum of 8+ years of relevant experience; of which 4 years must be as an in-house lawyer for a fast-growing company, experience with SaaS is a must and familiarity with healthcare is a plus.  
  • Strong legal drafting skills and the ability to work with third party paper or a clean sheet of paper to draft well-written, practical, solution-oriented terms. 
  • A confident, effective and positive negotiator who can lead the process, focus on important issues and efficiently bring deals to a favorable close. 
  • Outstanding attention to detail and organizational skills and very strong follow through on accountability. 
  • Efficient and creative problem-solver, comfortable with ambiguity, complexity, and nuance comfortable across different audiences and contexts, and able to switch gears appropriately for each. 
  • Excellent legal and business judgment with the ability both to assess relevant/material risks quickly and to communicate those risks to business partners in non-legal speak (a business-oriented, practical mindset). 
  • Must thrive in a fast-paced, quickly-evolving and growing environment and enjoy working on a variety of items each day.  
  • Team oriented, with exceptional interpersonal skills, a strong sense of humor, a positive and upbeat attitude, unquestionable ethics and integrity, and sound judgment.   
  • Ability to work independently and collaboratively, with excellent business judgment and strategic thinking, and a proactive, solution-oriented approach. 
  • Demonstrate a naturally business-friendly approach to legal problem-solving and be able to effectively counsel internal clients by providing clear, concise and practical advice as well as creative solutions. 
  • Comfort working with lean teams and wearing multiple hats in a smaller company environment. 
  • Be confident, professional and quickly able to gain respect and trust of business team members. 
  • JD from an accredited US law school; membership in good standing in at least one state bar.
