Corporate Counsel
The Corporate Counsel position, under the guidance of a VP, Senior Corporate Counsel, is responsible for providing general legal services for Providence St. Joseph Health (“Providence”). The Corporate Counsel will play an integral role in directing and managing complex litigation matters that arise from all segments of Providence. They will provide legal guidance and counsel to all areas of the organization relating to litigation and regulatory inquiries and lawsuits. Additionally, this position will provide legal advice to the Risk, Claims and Insurance (RCI) group.
The Corporate Counsel must be able to thrive in a highly complex, matrixed organization and exercise strategic judgment, oversight of outside counsel and interact with the VP, Senior Litigation Counsel, senior leaders, colleagues, and individual business units. At the direction of the VP, Senior Litigation Counsel, the Corporate Counsel will work with our team of regional and specialty leads to help manage litigation activities across our ministries and regions. This candidate may work from the Department of Legal Affairs’ (DLA) offices in Seattle, WA, or Irvine, CA. This position is eligible for remote work subject to approval and adherence to Providence guidelines. Potential candidates will ideally have 8 years of experience of working on complex litigations from inception to conclusion, including management and oversight of E-Discovery. Experience in insurance claims is highly recommended but is not required.
Key Relationships
This position will be supervised by the VP, Senior Litigation Counsel. The Corporate Counsel will be expected to regularly interact with all levels of the organization, developing and maintaining effective working relationships to provide best-in-class legal counsel and litigation management and support. This position will provide consistent advice to the Providence and DLA principles and assure that any legal action taken will follow those principles as well under DLA direction. The Providence RCI group will be a key client and business partner.
Key Job Duties & Responsibilities
- Advises and manages ongoing and incoming litigation for regional and systemwide clients.
- Advises business clients on compliance with the Stark Law, Anti-Kickback Statute, False Claims Act, Medicare and Medicaid billing rules, HIPAA, EMTALA and attorney-client privilege.
- Provides valued, strategic, and practical legal advice and education to business clients, colleagues, and executive leadership to proactively mitigate risk. Actively participates in providing regular and timely legal information as a continuing educational resource for Providence operations/ministries, including development of presentation materials, delivery of presentations, and development of written summaries regarding regulatory/legal changes affecting such operations/ministries.
- Provides research and technical support and drafts legal opinions for the determination and resolution of complex legal issues.
- Coordinates with the VP, Senior Litigation Counsel, and Deputy General Counsel in providing assistance and guidance regarding Providence legal affairs to support our mission and develops and maintains a highly collaborative environment to facilitate cross-functional support.
- Experience managing E-Discovery and outside vendors.

- Provides advice directly to clients regarding litigation management, including whether a case should be tried or settled.
- Remains current and knowledgeable with respect to issues affecting health care.
- Manages outside counsel, including establishing scope of work, budgeting, monitoring their work, and reviewing and approving invoices for services provided.
- Aids the enhanced centralization of the handling of all litigation matters across the system.
- Performs other duties as assigned by the VP, Senior Litigation orate Counsel and/or Deputy General Counsel.
- Fosters critical oversight and analysis of outside counsel case management to ensure expenses are reasonable and necessary and result in reductions in overall legal spend.
Qualifications:
Required qualifications:
- J.D. or Degree from an accredited law school, or the equivalent.
- Admission to Washington State Bar within 12 months of employment is required for continued employment
- 8 years of relevant health care legal experience in public or private law firm setting or demonstrated experience governing hospital/health care operations in-house advising a complex health care services organization or system, or academic medical center.
Preferred qualifications:
- Experience working with and providing input regarding legislative proposals as well as proposed and final regulations, the Medicare Modernization Act, the Affordable Care Act, the Medicare Access and CHIP Reauthorization Act and advising clients regarding reimbursement matters and billing and coding issues.
- Managing litigation at the state and federal trial and appellate courts
- Excellent interpersonal and communication skills with an ability to provide sound, clear
- legal advice to senior executives and other senior leaders
- Desire and aptitude to work in a collaborative environment on a team of high-performing legal professionals
- Ability to manage multiple time-sensitive projects effectively, efficiently, and calmly
- Facility with creative problem-solving, especially with challenging matters
- Development of strategy and tactics for complex, high profile matters
- Some regulatory experience - either working in a legal position for the government or managing the response to litigation or investigations initiated by the government
- Experience with class actions and multidistrict litigation
- Experience in a highly regulated industry such as Healthcare, Pharmaceuticals, Insurance, or Government a plus.
