SUMMARY
The Real Estate Counsel will be responsible for overseeing and managing all legal aspects of real estate transactions for our Company. Responsibilities include drafting and negotiating commercial leases, reviewing and negotiating letters of intent, purchase and sale agreement, contracts, and loan documents, handling all due diligence, preparing closing and other real estate related legal documents, title and survey review, completing 1031 exchange transactions, reviewing construction related documents, researching real estate laws and regulations, managing outside counsel, and providing legal advice to clients. The Real Estate Counsel will handle all aspects of leasing and purchase and sale transactions from LOI to lease execution/closing. The Real Estate Counsel should have excellent communication skills, great attention to detail, and the ability to work collaboratively with other personnel.
RESPONSIBILITIES
- Drafting commercial lease agreements and handling all lease negotiations from LOI to execution.
- All aspects of commercial real estate acquisitions and sales, including preparation and negotiation of contracts; all phases of due diligence and closing.
- Familiarity with and drafting of AIA documents related to construction of tenant improvements.
- Real estate finance, including loan document review, negotiation, and loan closings.
- Resolve title disputes and conflicts regarding zoning regulations, building codes, and other legal issues.
- Familiarity with common community formation documents a plus.
- Provide advice on any legal matters pertaining to RCS, as well as on any suits brought by or against RCS.
- Draft letters, notices and correspondence on behalf of RCS.
QUALIFICATIONS
Strong academic credentials with a J.D. Degree.
Admitted to practice law from any state within the United States and in good standing.
4 – 8 years’ experience in real estate acquisitions, leasing and financing.
Strong real estate transaction background, with significant experience negotiating and drafting commercial leases and purchase and sale agreements.
Demonstrated strategic approach to legal problem solving.
Impeccable communication skills, both verbal and written.
Ability to work independently on multiple projects and be deadline focused.
Ability to be flexible and adapt to change quickly.
High integrity with the demonstrated ability to learn quickly.
ESSENTIAL FUNCTIONS
Ability to comply with company rules and regulations.
Ability to communicate effectively and courteously with internal and external customers through two-way verbal and written communication (speech, hearing, and writing).
Very proficient in MS Word and ability to operate various office equipment including computer, telephone, fax, copier, calculator.
Willingness to work long hours.
Ability to work independently and refer appropriate matters to supervisor when necessary.
Ability to comprehend written and verbal communication.
