What are the responsibilities and job description for the Associate General Counsel position at Resilience?
Resilience is looking for an experienced attorney to manage a wide range of responsibilities relating to the company’s complex technology transactions and manufacturing services agreements, with a strong focus on intellectual property transactional and customer collaboration matters. As a key part of the team, your primary areas of responsibility will be to provide legal counsel to company leaders in support of Resilience’s rapidly growing network of technology collaborators, customers and other strategic partners, and to support the development and implementation of the company’s strategy across all such relationships. This position requires excellent deal management skills, an ability to analyze and synthesize complex matters into concise verbal and written communications, and the provision of strategic and timely advice to key decision-makers. The ideal candidate will have significant experience in drafting, negotiating and managing complex commercial transactions, such as collaborations, joint ventures, licenses and acquisitions, specifically in the biotech industry. The ideal candidate will also have significant experience in one or more of the following modalities: gene therapies, cell therapies, vectors, nucleic acids, vaccines and biologics, with experience in drafting and negotiating contract manufacturing agreements in support thereof.
Responsibilities
Serve as legal counsel to Resilience’s business development teams and product franchises, helping to build and sustain Resilience’s relationships with technology innovators, strategic collaborators and customers.
Work closely with the heads of Resilience’s various franchises to structure and negotiate agreements for the manufacture and supply of material for research, clinical trials and commercial sale.
Draft, review and advise on business agreements relating to the establishment, expansion or change in customer relationships, such as customer proposals, letters of intent, project agreements and change orders.
Draft, review and negotiate a variety of commercial agreements typical for the biotech and pharmaceutical manufacturing industry,
Support planning and procurement strategies to meet the needs of customers efficiently and effectively.
Support the integration of new manufacturing facilities into the Resilience network, including due diligence, implementation of network policies and procedures, and updating of form agreements.
Develop strong understanding of the various proprietary services and manufacturing technologies under development by Resilience and its collaborators and cooperate with IP counsel to consistently implement the company’s IP strategy across all contractual relationships.
Develop, share, and deploy knowledge and best practices for working with technology partners and customers.
Manage outside counsel to ensure timely and knowledgeable support of critical deals.
Provide additional legal support on other matters and assume other responsibilities, as assigned, including but not limited to general support of the company’s other commercial contracting matters such as manufacturing and vendor agreements.
Qualifications & Experience :
Juris Doctorate and Bar admission with a minimum of 5 years of relevant experience in Life Sciences industry, preferably biotechnology or manufacturing.
Large law firms and prior in-house experience preferred.
Scientific background, with preference for an advanced degree or equivalent combination of education and scientific experience in the areas of biotechnology, bioengineering, biological chemistry, gene therapy or cell therapy.
Admission to USPTO not required.
Significant experience advising on, drafting and negotiating complex agreements involving intellectual property (including licensing, collaboration, and/or other corporate or commercial transactions) and GMP manufacturing agreements for the supply of clinical and commercial quantities of drug substance and/or drug product.
Preference for biotechnology industry or pharmaceutical industry transactions experience, with bonus points for experience negotiating on behalf of a contract manufacturer.
Excellent communication, legal drafting, and analytical skills required.
