What are the responsibilities and job description for the Corporate Counsel position at REsurety, Inc.?

Position Overview

As REsurety’s Corporate Counsel, you will be responsible for the Legal & Compliance function of our growing organization. Reporting directly to REsurety’s COO, you will engage internal and external stakeholders across a variety of business needs including commercial negotiations, IP, data protection, regulatory, employment best practices, and corporate governance.  

 

Key Responsibilities

  • Draft, negotiate, and review contracts with clients, vendors, and other partners, including power purchase agreements, SaaS and data agreements, and other commercial contracts;
  • Manage CFTC compliance obligations related to REsurety’s registration as an Introducing Broker and Commodity Trading Advisor;
  • Assist in the development and implementation of company policies and procedures to ensure compliance with applicable laws and regulations;
  • Stay up to date with changes in relevant laws and regulations and communicate such changes to the appropriate stakeholders;
  • Work with other departments to ensure that legal issues are addressed in a timely and effective manner;
  • Provide training to employees on legal issues relevant to their roles and responsibilities; and
  • Liaise with outside counsel, when appropriate.

 

Required Experience & Qualifications

  • J.D. and admitted to at least one state bar
  • 5 years of relevant legal experience, including negotiating SaaS agreements or renewable energy project transactions
  • Excellent negotiation skills and experience negotiating commercial contracts
  • Analytical and problem-solving skills, with the ability to provide clear and concise legal advice to non-legal stakeholders
  • Excellent organizational skills with the ability to manage multiple projects simultaneously and prioritize effectively

 

Preferred Qualifications

  • Experience working in a fast-paced, start-up environment
  • Experience working in a regulated industry or with regulated clients
  • Combined law firm and in-house experience
  • Experience in some of all of: renewable energy transactions, IP, real estate, finance, construction and general corporate matters
  • Contract Lifecycle Management system experience
  • Passion for transitioning to a zero-carbon future
