Robert Half is currently seeking a talented Corporate Associate Attorney with a minimum of 2 years' experience to join our mid-size firm client located in Raleigh, NC. The successful candidate will have the opportunity to work on a variety of corporate and real estate/business transactional matters, with the option to also delve into estate planning if desired.
Responsibilities:
- Business Planning and Corporate Transactions:
- Engage in corporate and commercial real estate transaction practices, including mergers and acquisitions and finance-related matters.
- Demonstrate expertise in structuring business organizations, drafting and negotiating complex operating agreements, and partnership agreements.
- Exhibit proficiency in business acquisitions and divestitures.
- Real Estate Transaction Support:
- Prepare and review documents for real estate transactions, such as purchase and sale agreements, leases, and other transactional documents.
- Conduct due diligence reviews of property documents, surveys, title insurance commitments, and leases.
- Oversee pre-closing and closing procedures, including managing closing checklists, settlement statements, and closing binders. Additionally, assist with post-closing management and project close-out for commercial real estate and business transactions.
- Entity Formation Assistance:
- Provide support in the formation of LLCs, partnerships, and other entities.
- Estate Planning:
- Assist in drafting estate planning documents.
Requirements
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active NC bar membership in good standing.
- Minimum of 2 years' experience practicing corporate law, with exposure to real estate and business transactional matters.
- Strong understanding of business organization structuring and transactional processes.
- Exceptional drafting and negotiation skills.
- Detail-oriented with excellent organizational and time management abilities.
- Ability to work independently and collaboratively within a team.
